Arthur mack, executive director and robert connor, director are business partners in nmc, inc. Thomas d'luge, secretary, provides legal services to community living concepts, inc., a related organization of which arthur mack is president and,robert connor,michael kirby,diana hauer,catherine ellis, and kathy nauer are directors. Diana hauer,director,is mother of catherine ellis. Kathy nauer is a shareholder of financial one accounting, inc. Of which carpe diem has a 40% interest.

The members of the corporation are the members of the supported organizations which include: alternative services-connecticut, inc.; community living concepts of north carolina, inc.; community living case management, inc.; alternative services-oregon, inc.; alternative services-northeast, inc. And alternatives services, inc.

The members elect all directors of the corporation from among nominations put forth by the corporation's nomination committee.

The members approve all substantive actions, including mergers/acquisitions, annual budgets, indebtedness and any amendments to the corporation's articles of incorporation and bylaws.

Each director, officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: 1. Has received a copy of the conflict of interest policy 2. Has read and understands the policy 3. Has agreed to comply with the policy, and 4. Understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. The interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

The executive director's compensation plan is prepared by the compensation committee, which is comprised of board members. It is then reviewed and approved by the board of directors in addition to a review by an independent third party. The executive director is the only employee of the organiztion, therefore no other compensation reviews are needed.
