Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 was prepared by the outside accountants and reviewed by the executive director and treasurer. It was then presented to the full board for review prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

The foundation chairman presides over all meetings. Directors are required to review and sign the conflict of interst policy. Prior to the start of the meeting, the chairman asks if anyone has a conflict of interest and, if so, to make it known. If the board determines that a conflict exists, the conflicted person is recused from the meeting for the portion where there is a discussion of the issue on which there is a conflict.

Form 990, Part VI, Section B, Line 15A

The board relied upon a benchmarking analysis to determine the compensation of the executive director. An independent person - the director of human resources for the american wind energy association - obtained comparability data and contemporaneous substantiation, and then the wef board of directors considered this data, deliberated and made the final decision.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request

Financial Statement Notes

PART X, LINE 2:

Wef follows the financial accounting standards board accounting standards codification (fasb asc), which provides guidance on accounting for income taxes related to uncertain tax positions that might be recognized in wef's financial statements. Examples of potentially uncertain tax positions include the tax-exempt status of wef and various positions related to the potential sources of unrelated business income tax (ubit). As of december 31, 2014, wef had no uncertain tax positions in its information returns that would qualify for either recognition or disclosure of unrecognized tax benefits in its financial statements. Wef's policy would be to recognize interest and penalties, if any, on tax positions related to any unrecognized tax benefits in income tax expense in the financial statements. No interest and penalties were assessed or recorded during the year ended december 31, 2014. Wef's forms 990, return of organization exempt from income tax, that have been filed as of december 31, 2014, for fiscal years 2013, 2012, and 2011 are subject to examination by the internal revenue service, generally for three years after they were filed.

IRS990/ProgSrvcAccomActy2Grp/Desc0BUSINESSES FOR A HEALTHY CLIMATE: THROUGH THIS PROGRAM, THE WIND ENERGY FOUNDATION WORKS IN LOCAL COMMUNITIES TO BUILD NETWORKS OF BUSINESSES AND COMMUNITY LEADERS TO EDUCATE THE PUBLIC AND DECISION MAKERS ABOUT THE ECONOMIC REASONS FOR ADDRESSING CLIMATE CHANGE AT THE NATIONAL LEVEL. THROUGH WORKSHOPS, TOURS OF BUSINESSES USING CLEAN ENERGY AND OTHER COMMUNICATIONS TOOLS, OUR LOCAL VOICES DEMONSTRATE WHY MARKET APPROACHES TO REDUCING CARBON POLLUTION WOULD HELP ELIMINATE MARKET DISTORTIONS, UNLEASH THE CREATIVITY AND INNOVATION OF CLEAN ENERGY AND CLEAN TECHNOLOGY COMPANIES, AND HELP COMMUNITIES ADDRESS THE ECONOMIC, NATIONAL SECURITY, HEALTH, AND ENVIRONMENTAL COSTS OF CARBON-BASED ENERGY PRODUCTION.

THE FOUNDATION USES THE WIND VISION REPORT AND OTHER RESEARCH TO ARTICULATE THE ROAD MAP FOR MAKING WIND ENERGY ONE OF THE NATION'S LARGEST SOURCES OF ELECTRICITY AND FOR DELIVERING EVEN GREATER ECONOMIC AND ENVIRONMENTAL BENEFITS.
