Members are elected by the existing members from time to time at any annual meeting of members or at any special meeting of members called for election of members. A majority of those persons who at any time constitute the membership of the corporation may, from time to time, fix the number of members of the corporation. The qualifications and eligibility for membership is prescribed by resolution of the members in good standing and/or by any similarly prescribed rules and regulations which the members in good standing may promulgate. In addition, the manner of suspension or termination of membership and for reinstatement, if any, and, the conditions, rights, liabilities, and other incidents of membership.

The school's policy is to present the form 990 to its board of trustees including all required supplemental schedules. Each member of the board of trustees will receive a copy of the form 990 prior to the submission of the form to the internal revenue service.

Form 990, Part VI, Section B, Line 12C

All trustees, officers and key employees of blue school execute a conflict of interest policy statement on an annual basis. When a conflict exists the chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the school can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested trustees (or if there are no such disinterested trustees, by a majority vote of the disinterested officers) or committee members, as the case may be, whether the transaction or arrangement is in the school's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.
