“The unmc alumni association has delegated control of the management duties to the alumni relations office at the university of nebraska medical center.”

“On may 24, 2018, the unmc alumni association board of directors voted to amend the bylaws and articles of incorporation. A summary of the changes made to the bylaws are as follows: 1) council representatives shall serve as a director of the corporation for a three year term or until such time as his or her successor is duly elected or appointed by their respective council. 2) the composition of the board of directors was updated to include the chancellor of unmc or his/her designee, the president of the university of nebraska foundation or his/her designee, the immediate past president of the unmc college of medicine alumni council, and the dean of the unmc college of medicine. 3) the chair of the board must have at least one year of service on the board of directors prior to assuming the role of chair. 4) the executive committee will also serve as the governance committee. A summary of the changes made to the articles of incorporation are as follows: 1) the language was updated to reflect the current names of the alumni association members to be "alumni councils". 2) the college of dentistry alumni was added to the list of members.”

“The unmc alumni association has members consisting of the alumni councils. Each council has individual members. These individual members attended the medical center and have joined their respective alumni association council. The members of each council elect or appoint a president of their council and elect or appoint representatives to serve on the unmc alumni association board of directors.”

“The unmc alumni association has members consisting of the alumni councils, including: university of nebraska college of medicine alumni council, college of pharmacy alumni council, college of nursing alumni council, college of public health alumni council, college of dentistry alumni council, college of allied health professions alumni council, graduate studies alumni council, and the parents and family association. Each of the councils have members composed of their respective professional degree. Upon graduation from their professional program, all graduates are considered alumni and are not asked to pay dues or donate to belong to their council or the unmc alumni association.”

“The finance committee reviews the year end financials with the alumni director and provides a recommendation to the executive committee. The executive committee makes a recommendation to the full board for the approval of the year end financials. Year end financials are sent to external accounting firm to prepare 990. The board of directors reviews the form 990 and related schedules with the alumni director on an annual basis prior to filing with the irs. The board of directors approves the filing of the 990 and the related schedules.”

“The unmc alumni association regularly and consistently monitors and enforces compliance with the conflict of interest policy by having each board member review, complete and sign a copy of the policy on an annual basis. The forms are kept on file in the alumni relations office.”

“The unmc alumni association does not have any employees that are paid by the unmc alumni association. The unmc alumni association has contracted with unmc, alumni relations office, for program management and administration. Unmc human resources conducts compensation surveys to ensure employees are paid at market rates.”

“The unmc alumni association makes its governing documents and conflict of interest policy available upon request.”
