The President of Saint Louis University has the right to appoint two directors of the Organization. See Art.1, Sec.2 of the Organization's bylaws.

The President of Saint Louis University has the right to appoint the Chair of the Organization, Art.VII, Sec.1. Form 990, Part VI, Section B, line 12C

The Organization conducts regular and consistent reviews (at least annually). The reviews, at a minimum, include the following subjects: (a) whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's-length bargaining; (b) whether partnerships, joint ventures and arrangements with management organizations conform to the Organization's written policies, are properly recorded, reflect reasonable investments or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction; (c) whether the governing body and all committees with board delegated powers are properly implementing this conflict of interest policy; and (d) whether any improvements should be made to the conflict of interest policy.

The Board of Directors reviews and deliberates on the compensation of the executive director based on comparison to similar positions at other not-for-profit organizations. The Organization has no other officers or key employees who receive compensation. Therefore, this process is currently only relevant to the Executive Director.

Financial Statement Notes

Part X, Line 2:

Casa has addressed the provisions of FASB ASC 740, Accounting for Income Taxes. In that regard, Casa has evaluated its tax positions, expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings, and believes that no provision for income taxes is necessary at this time to cover any uncertain tax positions. Casa's federal Form 990 for tax years 2015 and later remain subject to examination by taxing authorities.

The word GUIA means "guide" in Spanish, and is at the core of what the program does by creating pathways to care for patients with complex conditions (generally defined as those who need referrals to two or more outside specialists, or who have a chronic disease like hypertension and diabetes). GUIA works with our network of over 100 outside providers to connect the patient to needed care, and a team member accompanies the patient to appointments, acts as a patient advocate and helps patients navigate the burdensome financial assistance/charity care processes. The program also provides health education phone calls and a home visits for patients managing hypertension and diabetes.
