Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee has the power to make on-going decisions between meetings of the board, including financial and budgetary decisions. No committee may (a) authorize distributions, (b) approve a dissolution, merger or the sale, pledge or transfer of all or substantially all of the organization's assets, (c) elect, appoint or remove directors or fill vacancies on the board or any of its committees, or (d) adopt, amend or repeal the articles or bylaws.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an accounting firm. The executive director and finance committee will review a draft of the form 990, and then a copy is provided to the entire board of directors prior to the return being filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organization's policy does cover the board of directors. It outlines the duty to disclose, the process for determining whether a conflict of interest exists and the procedures for addressing a conflict. The executive committee determines whether a potential conflict is an actual conflict. The executive committee shall ascertain that all material facts regarding the transaction and the insider's conflict of interest have been disclosed to the executive committee and shall compile appropriate data, such as comparability studies, to determine fair market value for the transaction, prior to any final determination with regard to the matter under conflict. The executive committee may ask questions of and receive presentation(s) from the insider(s) and any other interested person(s), but shall deliberate and vote on the transaction in their absence. The executive committee makes the final determination as to whether or not it is in the organization's best interest to pursue the transaction. The minutes of any meeting of the executive committee shall contain the name of each insider who disclosed or was otherwise determined to have a conflict, as well as the details related to the potential and/or actual conflict and the determination made by the executive committee. These minutes are presented to the full board at the next available opportunity. The executive committee is also granted authority to take any appropriate disciplinary and corrective action if deemed necessary in light of the determinations related to a conflict or if a conflict is not properly disclosed.

The process for determining executive director compensation includes comparability data as compared to company resources. The compensation deliberation and approval is conducted by the board and the process and determination is documented in the board minutes. This process was last completed in 2021.

THIS CORE OF THIS MISSION IS COMMUNITY-BASED ECONOMIC DEVELOPMENT BY USING LOCAL RESOURCES IN A WAY THAT ENHANCES ECONOMIC OPPORTUNITIES WHILE IMPROVING SOCIAL CONDITIONS IN A SUSTAINABLE WAY. OFTEN COMMUNITY-BASED ECONOMIC DEVELOPMENT INITIATIVES ARE IMPLEMENTED TO OVERCOME CRISES (SUCH AS THE 2008 FLOOD) AND INCREASE OPPORTUNITIES FOR COMMUNITIES THAT ARE DISADVANTAGED. TO MEET THIS GOAL, NEWBO CITY MARKET HAS BECOME BOTH A CULTURAL ORGANIZATION AND AN ECONOMIC DEVELOPMENT INITIATIVE, BLENDING SOCIAL AND ECONOMIC DEVELOPMENT TO FOSTER THE ECONOMIC, SOCIAL, ECOLOGICAL AND CULTURAL WELL-BEING OF OUR COMMUNITY. THE ORGANIZATION LOWERS BARRIERS FOR DIVERSE ENTREPRENEURS AND CREATES A LAUNCH PAD FOR STARTUP AND EARLY-STAGE BUSINESSES THAT HAVE A DISTINCT FOCUS ON LOCAL PRODUCTS. IN 2021, THE ORGANIZATION WAS HOME TO 21 SMALL BUSINESSES EMPLOYING OVER 150 PEOPLE AND RECEIVING OVER $2.5 MILLION IN GROSS REVENUE ANNUALLY. SINCE OPENING THE MARKET IN 2021, 12 SMALL BUSINESSES HAVE OR ARE IN THE PROCESS OF GRADUATING FROM THE MARKET AND OPENING STAND-ALONE LOCATIONS IN THE AREA.
