The policy is in place to avoid personal interests that conflict, or may appear to conflict, with the best interests of union health systems and its affiliates and the communities they serve. The covered persons are to refrain from personal interests, direct or indirect with any third parties. It is the responsibility of officers, management, and employees to scrutinize their transactions and outside business interests and relationships for potential conflicts and to immediately make such disclosures and act accordingly. A self-disclosure from covered persons to the board of directors is required on any potential conflicts of interest. The covered persons are to refrain from participating in any deliberation or decisions on such transactions. The conflicts disclosed are reviewed and resolved by the chairperson of the board.”

“The organization will have a compensation committee which will consist of the board chair and five or more committee members appointed by the chair. Any physician receiving compensation, directly or indirectly, as an employee or independent contractor of union hospital or union associated physician's clinic will not be eligible to serve on the committee. The compensation committee shall be responsible for reviewing, evaluating and approving all employment agreements, compensation agreements, or other personal financial arrangements with the organization. Any member of a committee may receive compensation from the organization for services rendered to, or for expenses incurred in serving, the organization as a committee member of the organization, or on for other activities on behalf of the system. The use of an outside expert/advisors will be used as necessary to provide feedback for conduct periodic reviews by the committee.”
