As a matter of policy, the organization circulates a copy of its year-end financial information, along with a draft copy of the annual federal information form 990 and corresponding massachusetts form pc among all the members of the board of directors for approval prior to filing the tax return with the appropriate tax and other governmental authorities.

Form 990, Part VI, Section B, Line 12C

The organization maintains a written and vigorous conflict of interest policy. Article 12 of the bylaws outlines the conflict of interest and compensation approval policies of the corporation. The purpose of this conflict of interest policy is to protect this tax-exempt corporation's interest when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of the corporation or any "disqualified person" as defined in section 4958(f)(1) of the internal revenue code and as amplified by section 53.4958-3 of the irs regulations and which might result in a possible "excess benefit transaction" as defined in section 4958(c)(1)(a) of the internal revenue code and as amplified by section 53.4958 of the irs regulations. This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations. The board of directors is duty bound to monitor all decisions and ensure that steps are taken to avoid any instance of a conflict of interest. Section 3 of article 12, specifically lists conflict of interest avoidance procedures, including: duty to disclose; determining whether a conflict of interest exists; procedures for addressing such conflicts; and remedies when the board determines there is such a violation of the policy.

Compensation approval is made by the board of directors and is designed to ensure no conflict of interest exists. No officer is currently compensated by the organization. However, compensation is contemplated and will be addressed pursuant to the bylaws as furnished to the internal revenue service at the time the board approves to compensate one or more officers.

THE PURPOSE OF THIS CONFLICT OF INTEREST POLICY IS TO PROTECT THIS TAX-EXEMPT CORPORATION'S INTEREST WHEN IT IS CONTEMPLATING ENTERING INTO A TRANSACTION OR ARRANGEMENT THAT MIGHT BENEFIT THE PRIVATE INTEREST OF AN OFFICER OR DIRECTOR OF THE CORPORATION OR ANY "DISQUALIFIED PERSON" AS DEFINED IN SECTION 4958(F)(1) OF THE INTERNAL REVENUE CODE AND AS AMPLIFIED BY SECTION 53.4958-3 OF THE IRS REGULATIONS AND WHICH MIGHT RESULT IN A POSSIBLE "EXCESS BENEFIT TRANSACTION" AS DEFINED IN SECTION 4958(C)(1)(A) OF THE INTERNAL REVENUE CODE AND AS AMPLIFIED BY SECTION 53.4958 OF THE IRS REGULATIONS.
