Individuals covered by the policy are required to disclose, on an annual basis, any financial or personal interests that could give rise to a conflict of interest. Disclosures are reviewed by the Board of Directors. When a potential conflict is identified, the interested individual is required to recuse themselves from discussion and decision-making related to the matter. The organization regularly monitors compliance with the policy by collecting annual disclosure statements, reviewing disclosures during board meetings as needed, and documenting any identified conflicts and related actions in board meeting minutes.”

“The organization uses a formal compensation review process to establish compensation for its Executive Director and other key management personnel. Compensation is reviewed and approved by the Board of Directors, excluding any individual whose compensation is being discussed. The Board considers factors such as the organization's budget, employee responsibilities, experience, performance, and comparable compensation data for similar positions at nonprofit childcare organizations in the local and regional market. Compensation decisions are documented in board meeting minutes and approved prior to payment. This process was last undertaken in 2024 for the Executive Director. We do not have any other key employees.”
