If it is determined there is a violation the committee will notify the person and give them an opportunity to explain the alleged failure to disclose and after hearing this and making further investigation if warranted will take appropriate disciplinary and corrective action. Any member of the governing board who receives directly or indirectly any compensation is precluded from voting on matters pertaining to that compensation. Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person received a copy of the conflict of interest policy, read and understands the policy, agrees to comply with the policy and understands the rules and limitations imposed upon the organization as a charitable organization to maintain its federal tax exemption. Periodic reveiws will be made to ensure the above and outside experts may be used.”
