“Form 990 part vi line 6: there shall be two classes of members: corporate and individual. Corporate membership is honorary to those companies that support the mission and purposes of swjc. A minimum annual contribution is required with the amount to be set by the board of directors. Corporate members shall have no voting rights. Individual membership may be granted to any individual that supports the mission and purposes of the swjc, and who pays the annual dues as set by the board of directors. Members shall have no voting rights, except at annual meetings.”

“Form 990, part vi, line 11: the 990 is distributed to management for review, then reviewed by the executive committee and then forwarded to the board prior to being filed.”

“Form 990, part vi, line 12c: procedures for addressing the conflict of interest a. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. B. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the governing board or committee shall determine whether swjc can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in swjc's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.”

“Form 990, part vi, question 15a & 15b: the executive committee sets the salaries and benefits of all employed staff based on salaries and benefits paid by similarly - situated organizations. The executive committee and the board approve the compensation and benefits amounts and document their decision.”
