Governance Explanations

Form 990, Part VI, Section A, Line 1

An executive committee which shall consist of at least three (3) directors, one (1) of whom shall be the president of the board, who shall also serve as chairperson of the executive committee. The other members of the executive committee shall be appointed by the president, subject to the approval of the board. The executive committee shall have all the authority of the board except as to the following matters: (i) the filling of vacancies on the board or on any committee; (ii) the amendment or repeal of any resolution of the board which by its terms shall not be so amendable or repealable; and (iii) the fixing of compensation of the directors for serving on the board or any committee.

Form 990, Part VI, Section B, Line 11B

The organization submits a copy of the form 990 to the finance committee for review before it is signed by the board chair and submitted to the irs.

Form 990, Part VI, Section B, Line 12C

At one of the board meetings during the year, board members verbally state if they have any conflicts. This is documented in the minutes.

Form 990, Part VI, Section B, Line 15A

The compensation of the organization's executive director is determined by the board of directors. The process for determining the executive director's compensation begins with a performance review. The executive committee then reviews comparative salaries using an analysis that draws heavily on 990s of other similar non-profit organizations. The executive committee then meets to discuss the compensation before sending the proposal to the full board for approval.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents and financial statements available to the public upon request.
