“The Executive Director was given authority to handle management decisions as prescribed by the Board of Directors.”
“The organization is comprised of 2,000 voting members.”
“All 2,000 members are entitled to cast a vote to elect the Officers as well as the Board of Directors on an annual basis.”
“The entire membership of TETA meets twice a year in July and December. During these meetings, all 2,000 members are given the opportunity to vote on all policy, bylaw, or governance issues.”
“Due to the fact that the Board of Directors is spread throughout the state, primarily the Chair and Chief Financial Officer provided the information necessary to prepare the return, although various Board Members were asked for input. The return is prepared by an accountant.”
“The compensation for the Executive Director was determined by a recommendation by a committee comprised of Board Members who consulted comparable organizations. The committee drafted a job description, along with an annual review process for the position. Once these items were completed, the Board voted to approve the recommendation.”
“TETA posts its governing documents on its website, teta.org. In addition, financial statements are prepared on a monthly basis, and reviewed quarterly at regional meetings.Although there is no conflict of interest policy, any and all TETA-related documents, be it tax or otherwise, are available for review upon request.”
