“A draft of Form 990 was reviewed by the board chair, executive director and a representative from the CPA firm handling the accounting and administration. Any comments will be discussed with the outside CPA/tax preparer and any necessary changes will be made to the return prior to filing.”

“Each director, principal office, and member of a committee with governing board delegated powers shall annually sign a statement which affirms each person: 1) has received a copy of the conflict of interest policy, 2) has read and understood the policy, 3) has agreed to comply with the policy, and 4)understands ADM is charitable and in order to maintain its federal and state tax exemptions, it must engage primarily in activities which accomplish one or more of its tax exempt purposes. Periodic reviews shall be conducted to determine whether cash disbursements have been properly approved, reflect reasonable payments for goods and services, furthers ADMs charitable purpose,and does not result in private inurement, impermissible private benefit or excess benefit transactions.”

“The Executive Directors compensation was determined by a negotiated written agreement between the Executive Director and the Board of Directors. At the time of such negotiations, comparability data was obtained. Part VI, Line 15(b) was answered no as no other officers or key employees as defined in the Form 990 instructions were compensated.”
