The accountant verifies the financial data entered by the cpa firm and then the executive director reviews and approves the form 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with board delegated powers annually signs a statement affirming they have received a copy of the conflict of interest policy, read and understands the policy and agrees to comply with it. Voting board members annually sign a statement declaring whether they are independent. If at any time during the year the annual statement changes materially the directors are required to disclose such changes and revise the annual disclosure form. The board regularly and consistently monitors and enforces compliance with the policy by reviewing annual statements. If it is discovered that a person has failed to disclose an actual or possible conflict of interest, the board or conflicts committee shall take appropriate corrective and/or disciplinary action. If a conflict of interest exists the person must recuse himself or herself at any time from involvement of any decision or discussion regarding the interest. The person may present on the matter, but must leave the meeting after the presentation before the discussion of the transaction or arrangement. A voting member of the board who receives compensation, directly or indirectly, from the organization is precluded from voting on matters pertaining to his or her compensation. All of these actions are recorded in the board and all committee meeting minutes.
