Form 990, Part VI, Section B, Line 11B

Tory burch foundation has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management, and is ready to be filed with the internal revenue service, it is electronically transmitted to the finance/audit committee for review and approval. It is then provided to and approved by the full board of directors at the recommendation of the finance committee prior to submission to the irs.

Tory burch foundation has in place a conflict of interest policy, which applies to all directors and principal officers. Each director and officer is required to sign a conflict of interest disclosure statement annually. An interested person must disclose as soon as practicable to the directors the existence of a potential conflict of interest and all material facts related to the conflict. In the event that a conflict of interest arises, the interested person with whom the conflict pertains to is excluded from voting on the issue. He/she leaves the room and the remaining board decide if a conflict of interest exists. With respect to any board discussion, decision, or actions involving transactions in which a director or officer has a conflict of interests, the minutes of the governing board will reflect the board's deliberations and voting process.

In may 2022, tbf launched a partnership with vfiles to support a vfiles lab entrepreneur through the tory burch foundation fellows program. The vfiles foundation is a 501(c)(3) organization with the mission to increase business ownership for creators in underrepresented communities (bipoc, women, lgbtq+). The vfiles foundation provides seed grants, mentorship, and soft skills training through its flagship program, vfiles lab. One entrepreneur was chosen to participate in the tbf fellows community and was given access to all the tbf programming. As of fiscal year 2022, we have supported one vfiles entrepreneur.

Tbf recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. Management has determined that tbf had no uncertain tax positions that would require financial statement recognition or disclosure. Tbf is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to september 30, 2019.

WOMEN ENTREPRENEURS FROM ACROSS THE UNITED STATES SUBMIT APPLICATIONS ONLINE. 50 WOMEN ENTREPRENEURS ARE SELECTED ANNUALLY. EACH FELLOW RECEIVES ONE-YEAR OF VIRTUAL EDUCATION PROGRAMMING, WORKSHOPS AND BUSINESS GUIDANCE, A $5,000 GRANT FOR BUSINESS EDUCATION, AND ACCESS TO THE FOUNDATION'S PRIVATE ONLINE PEER COMMUNITY OF FELLOWS. IN NOVEMBER 2020, THE FOUNDATION LAUNCHED AN EXCLUSIVE LOAN PROGRAM IN PARTNERSHIP WITH KIVA TO PROVIDE $15,000-$25,000 NO-INTEREST LOANS FOR WORKING CAPITAL NEEDS.FELLOWSHIPS:IGI FELLOWSHIP:IN NOVEMBER 2020, THE TBF LAUNCHED THE TORY BURCH FELLOWSHIP IN PARTNERSHIP WITH THE INNOVATIVE GENOMICS INSTITUTE ("IGI"). ONE WOMAN SCIENCE ENTREPRENEUR WAS CHOSEN TO BE EMBEDDED AT IGI FOR ONE YEAR WITH THE USE OF THEIR LABS AND THEIR STAFF AS MENTORS. THE VFILES FOUNDATION IS A 501(C)(3) ORGANIZATION WITH THE MISSION TO INCREASE BUSINESS OWNERSHIP FOR CREATORS IN UNDERREPRESENTED COMMUNITIES (BIPOC, WOMEN, LGBTQ+).
