Board directors sanford i. Weill and joan weill have a family relationship. Board directors bruce ratner and pamela lipkin have a family relationship. Board directors irwin jacobs and joan jacobs have a family relationship.

Form 990, Part VI, Section A, Line 4

The organization amended its by-laws to reflect the following changes: - article ii, section 2.2 - the organization increased the minimum number of directors of the board to three (3). - the board may elect a chair and vice-chair of the board as officers of the corporation. - article ii, section 2.8 - number of directors constituting a quorum decreased form 2/3 to 1/3 of directors in office. - article ii, section 3.14 - directors are no longer authorized to receive reasonable compensation for their services as directors. - article iii, section 3.1 - the board shall appoint all committee members. - article iv - the chairman, assistant secretaries and assistant treasurers are officers of the board.

Form 990, Part VI, Section B, Line 11B

The chairman reviews the form 990 and discusses all questions with the external accounting firm that was engaged for auditing and tax compliance. A final draft is circulated to the board of directors electronically for review prior to filing the form 990. When the board of directors has approved the draft, the form 990 is filed with the irs.

Form 990, Part VI, Section B, Line 12C

All members, directors, officers or employees of the foundation(covered person) owe a duty of loyalty to the lang lang international music foundation (the "foundation") and must act in good faith toward the foundation and in the foundation's best interests, rather than in their own interests or the interests of another entity or person, and must comply with applicable legal requirements. A conflict of interest arises whenever the interests of the foundation come into conflict with a financial or personal interest of a covered person, or otherwise whenever a covered person's personal or financial interest could be reasonably viewed as affecting his or her objectivity or independence in fulfilling their duties to the foundation. In connection with any actual or possible conflict of interest, a covered person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the board. A covered person is required to disclose in good faith and in writing to the board all material facts related to conflicts of interest. Disclosures should be made in advance, before any action is taken on the matter. Conflict identification and analysis can be difficult and, therefore, covered persons are at all times expected to err on the side of caution and disclose all instances where a conflict of interest or the appearance of a conflict exists, even if he or she does not believe that there is an actual conflict. The board will review all conflicts of interest and determine whether to approve or ratify any such matters.

Form 990, Part VI, Section B, Line 15A

A subcommittee of the board of directors was charged with the responsibility of establishing compensation for the foundation's executive director. The board used information obtained from form 990's of similar organizations to assist in establishing a salary range and related fringe benefits. The board approved the final compensation package and documented the agreement in the executive director's employment contract. This agreement is reviewed in concert with the foundation's operating budget on an annual basis. The process was last time undertaken in 2016.

Form 990, Part VI, Section C, Line 19

The form 990 is available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar websites.
