Governance Explanations

Form 990, Part VI, Section A, Line 8B

There are no committees with authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

Form 990 is reviewed by both the treasurer and executive committee prior to submission to the board of directors for final review. The board of directors receives a complete copy of the final form 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

Board members are required to sign the conflict of interest policy annually and identify any potential conflicts as they arise. An interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board-delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest and/or related party policy is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest and/or related party policy exists.

Form 990, Part VI, Section B, Line 15A

The executive committee compared executive compensation for similar organizations in the midwest, meeting several times to evaluate performance and set goals for the subsequent year.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
