The ceo will review the form 990 prepared by our outside accountants, and then will send the form 990 to the head of the audit committee. After approval by the audit committee, the electronic version of the form will be sent to all board directors. The board's review of the form 990 will be done before the filing of the return with the irs.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy pertains to any director, officer, or committee member with board-delegated powers who has a direct or indirect financial interest through business, investments or family relationships in an actual or potential organizational transaction or arrangement involving ownership, investment, and/or compensation matters. All officers & directors are required to disclose any actual or possible conflicts of interest to the directors and members of the board committees when considering a proposed transaction or arrangement. Following disclosure, the interested person leaves the board or committee meeting while the remaining members deliberate and vote upon the existence of a conflict of interest. If needed, the board chairman or committee chairman may appoint a disinterested person to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board or board committee determines if an alternative to the possible conflict of interest is reasonable for the organization to adopt. If it is determined that an alternative is not plausible, the interested person remains recused from the meeting, and the remaining board or committee members will deliberate and vote on the transaction or arrangement. The minutes of the board or committee will contain the names of all officers and board members involved in the decision-making process, as well as the name of the interested person, nature of the conflict, board action taken and the resolution adopted. Members of the board annually sign a statement certifying that they have read, understood, and complied with the conflict of interest policy. This process was last completed on january 31, 2015.

The compensation philosophy of teach for china is pay for position, pay for performance and pay for person. It has established a compensation structure with 13 compensation ratings from associate level to president level. The salary of ceo, executive director or top management, or key staffs are determined by the compensation ratings the position belongs to, and varied by the individual experience and performance. It is subject to the approval of senior leadership team (for positions lower than senior leadership team) or board members (for positions of slt). The salary is reviewed on annual basis each july. The approval is documented by approver's email.

Form 990, Part III, Line 3

Since this fiscal year, tfc strengthened the cooperation with china program, who share the same objective of improving the education equality in china. Meanwhile, in sept. 2014, teach for china hk limited was set up in hk to support and undertake fund-raising activities to aid and assist the teach for china, inc. Program. The program operation structure has been adjusted accordingly, some revenue was generated by tfc hk limited, and the donation will directly support the china program and will not reflect on the tfc's account. With this change, it reflects on the revenue decrease from last fiscal year's $6.5m to this fiscal year's $4m. During this fiscal year, tfc made a decision to temporarily suspend our us program, which means, we stopped the recruiting us fellows and will not bring new us fellows to china since semester started in sept. 2015. From the program operation aspect, we adjusted from directly manage and operate program to gradually work with china program who share the same mission with us. For example, for certain program process, like fellow stipend, fellow training and support, we have rely on the china program to process these parts via providing fund support.

Financial Statement Notes

PART X, LINE 2:

The corporation is exempt from the federal income taxes under section 501(c)(3) of the internal revenue code of the united states and is classified as a public charity under section 170(b)(1) of the internal revenue code. No provision for u.s. Federal income tax was made for the year ended june 30, 2015. No provision for prc income taxes was made for the year ended june 30, 2015 as the corporation did not generate taxable income from the prc during the year. The tax returns of the corporation are subject to u.s. Federal income tax examination by tax authorities for the years from 2008 to 2015. According to the prc tax administration and collection law, the statute of limitations is three years if the underpayment of taxes is due to unintentional errors made by the taxpayer or the withholding agent. The statute of limitations is extended to five years under special circumstances where the underpayment of taxes is more than us$15,000 (or rmb 100,000). In the case of transfer pricing issues, the statute of limitations is ten years. There is no statute of limitations in the case of tax evasion.
