The form 990 was prepared by the outside accountants and reviewed by the finance committee before it was filed.

Form 990, Part VI, Section B, Line 12C

The presentense group has established in its bylaws a clear conflict of interest policy, affirmed by the board of directors. Following a process of operational review, presentense group begins each year with a group revisiting of the policy and individual affirmation of its principles. Any director who has an interest in a matter leaves the room during any discussion regarding whether a conflict of interest exists and whether to approve the matter. Except as provided below. However, the interested director may participate in any discussion. The remaining board of directors or committee members decide if a conflict of interest exists. Procedures for addressing the conflict of interest: (a) any director who has an interest makes a presentation at the board of directors or committee meeting, but after the presentation, the director leaves the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. (b) the chairperson of the board or committee, if appropriate, appoints a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. (c) after exercising due diligence, the board of directors or committee determines whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. (d) if a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board of directors or committee determines by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it makes its decision as to whether to enter into the transaction or arrangement. The conflict of interest policy also applies to officers and key employees.

Form 990, Part VI, Section B, Line 15A

The executive board held a meeting on september 1, 2013 with regard to executive compensation for the ceo and determined a salary schedule for the following two years of activity. The new york non-profit survey was used for comparable data and contemporaneous substantiation of the deliberation and decision was documented in the board's minutes. The last compensation review took place in november 2014.

PART X, LINE 2:

In june 2006, the financial accounting standards board (fasb) released fasb asc 740-10, income taxes, that provides guidance for reporting uncertainty in income taxes. For the year ended september 30, 2015, presentense has documented its consideration of fasb asc 740-10 and determined that no material uncertain tax positions qualify for either recognition or disclosure in the financial statements. The federal form 990, return of organization exempt from income tax, is subject to examination by the internal revenue service, generally for three years after it is filed.
