“Significant changes to bylaws: the following changes have been made to the organizations bylaws since the prior form 990 was filed: - directors shall receive reimbursement of expenses in performance of their duties as the board of directors deem appropriate from time to time. For the purposes of fees, the directors may elect to treat independent directors differently than non-independent directors. - the amended bylaws added a section on voting which describes the actions taken by a majority of directors present, actions by majority of all directors, actions by full two-thirds majority of all directors, action by two-thirds of committee members present, and rules on voting by proxy. - any action required or permitted to be taken at any meeting of the board of directors may be taken without a meeting upon the consent of two-thirds of the voting directors - the most current version of the roberts rules of order or other rules as the board of directors may adopt from time to time, shall generally govern procedures at all meetings of the board of directors and its committees on matters not expressly covered by these amended bylaws. - the board of directors shall appoint the president who shall serve at the pleasure of the board of directors. The president shall have general supervision over the daily operations of the corporation and any other duties as may be assigned from time to time.”

“Monitoring conflict of interest policy: on an annual basis, board members and management staff are required to submit a conflict of interest questionnaire for board and management review as appropriate. The questionnaire provides specific instructions that the form must be updated if any situation arises during the year that might constitute a conflict. The audit committee has responsibility for intervening, if necessary, on conflict of interest matters. Any individual found to be in conflict will abstain from the decision making process.”

“Officer compensation: the board of directors management review committee, as provided in the organization's bylaws, has a responsibility for the compensation of all senior management. Annually, salaries of senior management are reviewed by the organization's board of directors. The deliberation and decision of compensation arrangements was contemporaneously substantiated in the organization's minutes. Sun health services retains an independent consultant, usi insurance, in assessing its executive compensation policies and practices. The compensation process was last undertaken in 2021.”

“Program service #1 accomplishments (continued): our flagship campaign, generosity for generations offers life-changing opportunities for givers and life-changing support for recipients by ensuring the continuation of superior health care and quality-of-life enhancements for the west valley. We know that by making improvements in healthcare today will change the course of wellness for generations to come. To date, generosity for generations has reached 76% of the $48 million goal to fund vital healthcare initiatives at banner hospitals in our community. Sun health has carefully and thoughtfully nurtured our vision to provide superior healthcare to the communities we serve. We are laser-focused on our goal to fund: - emergency department and patient care transformation - community health and wellness - service enhancements for women and infants - spine health and orthopedics - advanced technology for cancer-fighting treatment and care - cancer-fighting treatment and care advancement and more finally, because community health - mentally, physically, financially and emotionally is our priority, through our foundation, we award hundreds of thousands of dollars in educational scholarships. Our vision is in the name: vida - life, bringing generations together in the community to learn from one another, share in experiences and grow together.”

“Program service #3 accomplishments (continued): we use a multi-pronged approach that serves local medical center patients aged 55 and older with education, support and training to elevate their overall fitness, health and well-being through classes and presentations (in-persona and online), hands-on assistance and consultative services. Even more, sun health provides deeper, more targeted education and support for: - pre-diabetes - diabetes - cancer - dementia - respiratory conditions - atrial fibrillation - heart failure - heart attack - hypertension - kidney disease - nutrition - fitness - balance and mobility - weight management - memory care navigation - care transitions - wellness advocates”

“Other program services: the care transitions program serves local medical center patients age fifty-five and up by giving individuals the support, guidance and resources to transition from the hospital setting and/or coping with chronic health issues. The program contributes a significant reduction in hospital readmissions.”

“Unrelated business income: all unrelated business income is related to sun health services' interest in alternative investment partnerships.”
