Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee of directors shall consist of the chairperson, president (non-voting), secretary, treasurer and two (2) at large board members. The executive committee shall have and exercise the authority of the board of directors in the management of the corporation, except that such committee shall have no authority to authorize any expenditure in excess of $15,000 which has not been budgeted, amend, alter or repeal the by-laws, or to approve any charter document required to be filed with the state.

The members of the organization shall consist of the chairperson, vice-chairperson, president, secretary and treasurer of civic works, inc. And representatives from john hopkins medical institutions, associated builders and contractors, johnson controls, inc., and stevenson university.

Any action of the board of directors in adding to, altering, amending, repealing or suspending the organization's by-laws may be changed or rescinded by a majority of voted entitled to be casted by the members at any member meeting. The members may also by majority vote add to, amend, alter, repeal or suspended the organization's by-laws without the board initiating this process. Members are able to remove officers or directors with a majority vote.

The organization relies on the written conflict of interest policy in place by civic works, inc. The finance committee monitors and enforces the conflict of interest policy. The coi policy of civic works, inc. Applies to board members, staff, and certain volunteers. For board members, the disclosure statements shall be provided to the chair of the board, or in the case of the chair's disclosure statement, shall be provided to the secretary of the board. Copies shall also be provided to the chief executive officer of the organization. In the case of staff or volunteers with significant decision making authority, the disclosure statements shall be provided to the chief executive officer of the organization, or in the case of the chief executive officer's disclosure statement, shall be provided to the chair of the board. Whenever there is reason to believe that an actual or potential conflict of interest exists between reach and an interested party, the board of directors shall determine the appropriate organizational response. Where the actual or potential conflict involves an employee of the organization other than the executive director, the executive director shall, in the first instance, be responsible for reviewing the matter and may take appropriate action as necessary to protect the interests of the organization. The executive director shall report to the chair the results of any review and the action taken. The chair, in consultation with the executive committee, shall determine if any further board review or action is required.
