Mission

The mission of st. John's medical p.c., a member of episcopal health services inc. Of the diocese of long island, is to provide quality health care with an emphasis on patient safety through its hospital, ambulatory care facilities and continuing medical education, recognizing the emerging life-care needs of the communities served. The company terminated all employees in 2018 and is currently inactive. Emergency department contracts are negotiated directly with episcopal health services, inc., a related organization.

Governance Explanations

Dr. Albert strogen is the president (sole nominee shareholder).

FORM 990, PART VI, LINE 8A:

As a supporting organization to st. John's episcopal hospital (the "hospital"), meetings and decisions of the shareholder and governing body are carried out in applicable meetings of the hospital. Documentation of any meetings or decisions are in the hospital's documents.

FORM 990, PART VI, LINE 8B:

There are no separate committees with authority to act on behalf of the governing body.

FORM 990, PART VI, LINE 11B:

The form 990 and appropriate schedules, as required (form 990), is completed by outside tax advisors and any necessary adjustments are made, after which time it is considered an initial draft. The draft of the form 990 is then presented to the episcopal health services audit committee (the committee) of the board of trustees (the board), which has been delegated the detailed review function by the board. Once the committee's review is complete the form 990 is then provided to all voting members of the board.

FORM 990, PART VI, LINE 12C:

The corporate compliance and privacy office distributes, gathers and reviews all annual conflict of interest questionnaires. Where positive responses are indicated additional information is gathered to determine if a conflict actually exists. If a conflict exists, appropriate action is taken to eliminate the conflict, including such steps as notifying the board, reassignment of responsibilities or establishment of protective agreements. If a matter involves a board member or officer, appropriate action, including recusal and additional disclosures, will be determined by the board.

Financial Statement Notes

PART X, LINE 2:

St. John's medical, p.c. ("sjm") recognizes the effect of income tax positions only when the tax positions are more likely than not to be sustained. Management has determined that sjm had no uncertain tax positions that would require financial statement recognition or disclosure. Sjm is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to 2017.
