“The organization's board of directors delegates authority to the executive committee to act on behalf of the governing body. The president, vice-president, budget and finance chair and four at large member directors selected by the president and the chair of the commissioners make up the executive committee. The scope of the executive committee is binding authority on behalf of the foundation and its members.”

“Board members service as baord members of related organizations, therefore a business relationship exists between the officers and board members.”

“Members of the foundation consist of the chief administrative officers of the state fish and game departments, or their equivalent, which are member agencies of western association of fish and wildlife agencies (wafwa). Members serve as the directors of the foundation as detailed in the foundation by-laws until they are no longer the chief administrative officer of their respective state agency.”

“The acting executive director reviews the form 990 and shares with the budget, finance and compliance committees prior to final approval.”

“All policies are in conjunction with western association of fish and wildlife agencies. All committee members and employees are covered by the conflict of interest policy and the policy is reviewed annually. Any potential conflicts are reviewed with the executive committee and any issues that arise are handled on an individual basis depending upon the conflict.”

“The acting executive director works on a volunteer basis and performance is reviewed semi-annually by members of the executive committee. No compensation is paid for the acting executive director by the organization or any related organization.”
