“Amended ushja bylaws change in section 2. Number, appointment/election and term. Overall - went from 7 directors to 3. One of the three will always be the association president and the second of three must be a director of ushja. The current foundation directors terms shall end at the conclusion of the 2019 annual meeting in accordance with the previous bylaws. Effective at the conclusion of the 2019 annual meeting, the foundation board shall consist of three directors, all of whom shall be appointed by the ushja board of directors. The president of the ushja shall always serve as one of the three directors of the foundation and that term of office on the foundation board of directors shall coincide with his/her term as ushja president. Otherwise, director terms shall be two years ending at the conclusion of the applicable annual meeting. A second of the three foundation directors must also be a director of ushja. (a) all foundation directors must be members in good standing of ushja, but need not be residents of the commonwealth of kentucky. Each foundation director shall be eligible for reappointment; however, no director shall serve more than eight consecutive years change in section 4 - annual and regular meetings. Overall - removed the mid-year face to face meeting the foundation board shall meet a minimum of four (4) times per calendar year including one in-person meeting which meeting shall coincide with the annual meeting of ushja. Meeting via teleconference is permissible for all meetings except for the one in-person meeting. (b) regular meetings of the foundation board of directors. Regular meetings shall occur a minimum of three (3) each year in addition to the annual meeting of the foundation board of directors. These additional regular foundation board meetings may be conducted via teleconference, video conference or other method approved by the foundation board of directors. The foundation secretary shall provide written electronic notice of such meetings to each director in accordance with meeting notice requirements listed in article 301.6. Change in section 7. Quorum and voting. Two of the currently serving foundation directors fixed by these bylaws shall constitute a quorum of the board. Change in article 303 the term of office for each officer will be two years, and officers, if so elected, may serve additional, consecutive terms not to exceed a total of eight years except that the term of the president of ushja as a director on the foundation board of directors shall coincide with his/her term as ushja president. Otherwise, director terms shall be two years ending all officer elections shall occur at the annual meeting of the ushja board of directors. Change in article 306 - discharge of duties. Section 1. Foundation officers elected by the foundation board who cannot perform the duties of an officer in accordance with the ethics and standards, and conflict of interest policies in accordance with the foundation bylaws may be removed from their office with the majority approval of the ushja board of directors. The remaining term of such officer position shall be filled in the manner specified by the ushja board. An officer of the foundation may resign at any time by delivering written notice to the foundation board. A resignation shall be effective 231 when the notice is delivered unless the notice specifies a later effective date.”

“Scholarships and grants - the ushja foundation has multiple scholarships and grants available to ushja members annually. The hamel scholarship for further education is designed to encourage further education among equestrians and will award up to 25k to one ushja member for college, graduate, trade or professional school. The gochman family grant for the us pony finals offers up to three annual grants to young riders to afford them the opportunity to compete in the us pony finals. Zone scholarships - funds are raised by members of regional zones and awarded as educational scholarships to zone members. The foundation's making a dream grant offers unique opportunities in the hunter/jumper sport to ushja members who face significant adversity, such as mental, physical or emotional challenges; resource limitations; or other challenges. Each experience is custom- designed depending upon the specific interests of the "making a dream" grant recipient.”
“Historical preservation - the foundation raises funds to aid the ushja's wheeler museum that aims to collect, preserve and share the history of the hunter/jumper sport. Its purpose is one of both preservation and education for those within the hunter/jumper community as well as the general public. To assist the ushja and the wheeler museum, the foundation assists with online video archiving, new exhibits, and preservation of historical artifacts.”

The ushja and the ushja foundation, inc., as nonprofit organizations are subject to taxes on gross unrelated business income less expense directly connected to this income, subject to a 1,000 exemption. The organizations have adopted asc 740-10 as it relates to uncertain tax positions and have evaluated their tax positions taken for all open tax years. The organizations are not currently under audit nor have the organizations been contacted by any tax jurisdictions. Based on the evaluation of the organizations' tax positions, management believes all positions taken would be upheld under an examination. Therefore, no provision for the effects of uncertain tax positions has been recorded for the fiscal years ended november 30, 2019 and 2018.”
