Passavant memorial homes' approval is required for the following for accessible dental services: (i) the appointment or removal of directors, (ii) the approval of any plan of merger, interest exchange, conversion, division, domestication, dissolution, or the sale of substantially all assets, (iii) the amendment of the bylaws, and (iv) the amendment of the articles of incorporation.

The accessible dental services form 990 review and submission follows the following process: 1. The passavant memorial homes management team completes a first draft of the form 990. 2. The draft form 990 is submitted to passavant memorial homes' independent auditors for review and the passavant memorial homes management team makes changes to the form 990 that were identified by the independent auditors, as applicable. 3. Once the draft 990 is approved by the independent auditors, it is submitted to passavant memorial homes' legal counsel for review and endorsement. Following review from legal counsel, the passavant memorial homes management team makes additional changes to the form 990 per legal counsel's recommended revisions, as applicable. 4. Passavant memorial homes' legal counsel presents the final draft of the form 990 to the full board of directors for approval prior to filing with the internal revenue service.

The organization regularly and consistently monitors and enforces compliance with the conflict of interest and disclosure statement. Board members complete conflict of interest and disclosures statements annually. If an interested person has a conflict, he or she is recused from voting.

The ceo, coo, cos, and cfo, as well as all officers who are employees and key employees, are employed and paid by passavant development corporation. The total compensation for each of these employees is allocated across passavant memorial homes and its subsidiaries and affiliates, in accordance with a comprehensive allocation plan, which is approved by the independent auditors and adopted by the board of directors. The comprehensive allocation plan is reviewed annually. In addition, the following are used to establish the compensation of the organization's ceo, coo, cos, and cfo, as well as all officers who are employees and key employees, ensuring that the organization is in accordance with the irs guidelines: the compensation committee (called executive committee), independent compensation consultant, compensation survey or study, and approval by the executive committee for recommendation to the board of directors for approval. Additionally, the board of directors has adopted a policy that targets total compensation for officers and executives at the 75th percentile for like positions, as provided by the independent compensation consultant. Total compensation includes base salary, bonus, and benefits (including deferred compensation).

Senft, ceo and president, titled, "continuously pursuing our ongoing commitment to the highest quality of services and supports having had the privilege of serving as ceo and president of passavant memorial homes family of services (pmhfos) for over 35 years, i am honored to again bring you this annual message and reflect upon another impactful year. Across 2024, passavant memorial homes (pmh), passavant development corporation (pdc), life enrichment trust (let), accessible dental services (ads), and passavant memorial homes foundation (pmhf) have been able to further advance our collective missions and provide a holistic array of supports to individuals with intellectual disabilities, autism, and behavioral health needs, empowering them to achieve their unique goals and live successfully in the community. As the organizations that comprise pmhfos continue to advance and adapt to the various changes in the ways individuals require and receive supports and services, one thing that remains unchanged is our unwavering commitment to quality. Ensuring the highest quality of services for the individuals we are privileged to serve underpins everything that we do, and during the past 12 months there have been a number of initiatives that have been implemented across our service offerings to further promote and enhance quality. As a not-for-profit integrated human services provider, quality starts with the employees that provide the compassionate care on a day-to-day basis. Accordingly, pmh is committed to rewarding and recognizing the dedicated efforts of all of our direct care staff. In this regard, pmh is proud to have been able to provide numerous hourly wage rate increases to employees in these positions, the most recent of which raised our starting hourly wage rate to $19.00 per hour for non-degreed, and $22.00 per hour for degreed, direct care positions. In addition to enhancing the hourly wage rates for direct care employees, pmh also implemented a tuition assistance program to support our employees' educational growth and development. Through this program, employees in eligible direct care roles can receive reimbursements for courses completed at academic institutions. Pmh also continues to embrace technology in an effort to enhance the experience for our direct care employees. During this past year, pmh has continued our development of an online tool that provides our direct care employees with the ability to view, bid on, and be awarded additional shifts that are available for them to work. This online tool, which can be securely accessed anywhere by our direct care employees using their smart devices, is presently being piloted at two residential service locations and significantly streamlines this former cumbersome, paper-based process. Our leadership team and supervisory staff also play a key role in ensuring the highest quality of services across the various programs offered by pmh. In this regard, pmh strengthened its managerial oversight and capabilities across the past year. Specifically, in addition to pmh's in-house nursing and behavioral supports departments, pmh further enhanced its internal resources by expanding our safety and wellness department. Our safety and wellness advocates completed approximately 900 safety and wellness visits during 2024, with the primary purpose of these visits being to ensure the individuals pmh supports are receiving optimal services. Another significant milestone achieved by pmh during the past year is the successful exiting of all rental properties used for the purpose of providing community residential services. Accordingly, pmh now owns all of our licensed community residential service locations, affording the individuals we are privileged to serve the comfort and security of having a stable living environment where they can establish and develop lasting c

Article by mary ann bolland, pmh board chair, titled, "further pursuing our mission through community-based collaboration" as chair of the passavant memorial homes (pmh) board of directors, i am honored to be able to represent an organization that shows such a commitment to serving individuals with intellectual disabilities, autism, and behavioral health needs. Throughout the past year, passavant memorial homes family of services (pmhfos) has been able to overcome a variety of obstacles and push forward in the pursuit of its collective missions. The continued progress made is attributable to rick d. Senft's enduring leadership. Accordingly, i can state with confidence that pmhfos enters the new calendar year well positioned to navigate the challenges that await and is focused on further enhancing the quality of services being provided to more than 10,000 individuals we are privileged to support. When i reflect back upon 2024, what stands out to me are the many innovative ways that our organizations have each been able to facilitate community engagement opportunities for those we are privileged to serve, and further partner with others to achieve this goal. Through our partnership with the pittsburgh penguins, the individuals that we serve have been able to enjoy many unique experiences, including attending games in luxury suites, having breakfast in the players locker room, and even getting to ride around the ice in the penguins fanboni during the intermission of an nhl game. Additionally, a new partnership that pmhfos entered in 2024 was with the pittsburgh pirates. In a similar way, this partnership facilitated a variety of unique on the field experiences for individuals to enjoy, such as attending batting practice and throwing out the first pitch. These opportunities, and the countless other less extravagant ones that pmhfos has been able to facilitate across the past year, have enabled the individuals that we serve to experience joy and create memories that they will cherish forever. Passavant memorial homes foundation (pmhf) was again able to share our mission and recognize several local, graduating high school students through the community service scholarship in memory of jamie ellenberger. This past year, the scholarship application went out to high schools across 14 counties, and we received over 90 responses, with four students ultimately being awarded scholarships in the combined amount of $25,000. Pmhf also worked with millie's homemade ice cream to hold a dine & donate event whereby a portion of the day's sales went to pmhf, and all individuals served by pmh could visit one of their community store locations and receive free ice cream. Pmhfos' community partnership outreach is further demonstrated by pmh's other subsidiary organizations. Pdc pharmacy continues to support over 167 partner provider agencies across pennsylvania, ohio, delaware, new jersey, and colorado, providing customized pharmaceutical services to 4,700 individuals. By embracing new technology solutions such as the implementation of another state-of-the-art pharmacy automation system, and an enhanced, web-based medication management platform, pdc pharmacy's partner organizations have more options and more access than ever before, further promoting individuals' medication tracking and compliance. Accessible dental services (ads) and life enrichment trust (let) also continue to provide critical solutions to a further combined 4,900 individuals with disabilities through providing compassionate dental care and trust administration services, respectfully. Through these related organizations, the breadth of pmhfos' outreach continues to grow, and, as i step back and reflect through this annual message, i am eternally grateful for all those who have assisted us in empowering the individuals that we serve to live successfully in the community this past year. PART X, LINE 2:

Pmh, pmhf, let, let-nj, ads, and the housing initiative corporations are not-for-profit corporations as described under section 501(c)(3) of the internal revenue code (irc) and are recognized as tax exempt under 501(a) of the code. Accordingly, no provision for income taxes has been provided. Pdc is a for-profit corporation and is subject to federal and state income taxes. Pdc provides for income taxes in accordance with the asset and liability method. Under this method, deferred taxes are determined based on the difference between the financial statement and the tax basis of assets and liabilities using enacted tax rates in effect in the years in which the differences are expected to reverse. Deferred tax assets are provided for operating losses that are available to offset future taxable income and tax credits that are available to offset future federal income taxes. A valuation allowance is established for any deferred tax asset for which realization is not considered likely. Accounting principles generally accepted in the united states of america require the organization to evaluate tax positions taken by the organization and recognize a tax liability or asset if the organization has taken an uncertain position that more likely than not would be sustained upon examination by the internal revenue services (irs). The organization has concluded that as of june 30, 2025 and 2024, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or asset or disclosure in the consolidated financial statements. Generally, tax returns for years ended june 30, 2022, and thereafter remain subject to examination by federal and state tax authorities.
