If there was any conflict of interest identified, that Director would be asked to leave during the part of the meeting in which the remaining Directors would discuss that matter. Any Director with a potential conflict of interest was not allowed to participate in the decision making process for an item deemed to be a conflict of interest.”

The Board considered data of comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations. The discussion and decision was contemporaneously documented. -Salary for the Executive Director was reassessed in 2019. The Executive Director was not present at the meeting during the discussion and decision regarding his compensation. The Board of Directors consisted of non-conflicted individuals and those individuals deliberated and determined the compensation, to the exclusion of the Executive Director, based on data (prepared by a non-conflicted individual) that compared wages for comparable positions. The Board also reviewed data prepared by a non-conflicted, third-party law firm, which presented prevailing wage data reported by the US Department of Labor for comparable positions. The Board's deliberation and decision regarding compensation was contemporaneously documented.”

“The organization posts downloadable copies of its governing documents (including Articles of Incorporation and By Laws), conflict of interest policy, and financial statements on the organization's website, available to the public during the tax year. We make additional copies available upon request.”

“There is a total of $8,921 in FY2023 expenses that were paid for in FY2024 (September 2024) and therefore the amounts are reflected in the FY2023 expenses but are not reflected in the year end accounts balances because the full amounts ($8,921) were deducted from accounts in the beginning of FY2024 (September 2024), which fall outside the scope of this report.”
