“There is a duty to disclose all information that may lead to a conflict. There is a discussion of the material facts and, after, there is a vote to decide if the individual will leave the board or executive committee. Procedures for addressing the conflict of interest: an interested person may make a presentation at the board or executive committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.
