“Annually, following an open call for candidates and an interview process, the nominating committee issues a report recommending the appointment of candidates for six open board seats. The report is circulated to all cmba members via email or other means. Candidates who are not recommended by the nominating committee have 7 days to challenge the nominating committee's recommendation by submitting a petition challenging the recommended candidates. The petition must be supported by the signatures of 15 members of the cmba. Upon receipt of a timely petition, an election shall be conducted. All petitioning candidates and all nominating committee recommended candidates shall be listed on the ballot unless a candidate withdraws his/her name from consideration. All cmba members shall have 7 days to vote by mail, email or other means approved by the board of directors. Candidates receiving the most votes in the election shall fill the open seats. A runoff election shall be held within 7 days in any race that results in a tie.”

“The code of regulations may be amended by the affirmative vote of a majority of the members voting at a meeting, if the board of directors elects to address such matter at a meeting, or by the affirmative vote of a majority of the members voting by mail, email or other means approved by the board of directors; provided however, that in either event the text of any such proposed amendment shall be sent to the membership at least thirty days preceding the date of the proposed vote on such amendment.”

“The board's minutes and actions are reviewed and approved each month. The executive committee's actions are reported at board meetings.”

“The form is reviewed by the cmba fiscal policy committee, chief financial officer, the chief executive officer and the cmba treasurer prior to filing. The chief executive signs the form.”

“Board members are required to sign a form annually disclosing any interest which might give rise to conflicts. Staff and the governance committee review all forms annually. The governance committee provides an annual overview of the conflicts policy for the board and promotes a culture of open discussion/candor among the board members about the potential for conflicts and what to do if there is a conflict.”

“The board's compensation committee determines the chief executive's compensation on an annual basis and it is approved by the executive committee and board.”
