“The executive committee, as determined by resolution by the board, shall: provide strategic direction and support to the executive director(s); have the authority to act on behalf of the organization in the intervals between board meetings; be responsible for recruiting, hiring and evaluating the executive director(s); have general authority to execute bonds, deeds and contracts in the name of the organization; and have such other powers and duties as may from time to time be determined by the board. The executive committee shall keep accurate records of its proceedings and report all actions to all directors on the board. All actions of the executive committee shall be subject to review and confirmation by the board in such a manner as is determined from time to time by the board. The executive committee shall provide financial oversight and support in the creation of the annual budget, review of finances and the annual review/audit.”

“There are two classes of members of the organization: "provider members", who shall include clinics, physicians and individuals representing those who work as independent abortion care providers, as further defined in the policies and procedures of the organization; and "partner members", who shall include non-providers who are members of the abortion care support community.”

“A draft of the 990 is prepared by an independent accounting firm, submitted to the finance committee for initial approval, then to the board for full approval. The copy of the 990 that the board receives for review has the names and addresses omitted from schedule b.”

“All board members fill out a conflict of interst form annually. The organization reviews the conflict of interest policy with the board annually.”

“In 2021, compensation determination changed to a pay equity model. This model uses an areas of responsibilities tool created in collaboration with the governance committee and staff. Pay is determined based on the areas of responsibility a position holds based on job descriptions. The internal affairs committee annually reviews cost of living adjustments, average salaries for abortion care network positions, thriving wages, and ratios for lowest to highest paid staff member to ensure that the areas of responsibilities tool is aligned with the organization's compensation philosophy. The internal affairs committee then recommends adjustments to the executive committee. The executive committee reviews salaries annually as part of the budgeting process for abortion care network the following year. The review of salaries is documented in the executive committee minutes as part of the annual budget review. Approval of salary increases are provided to employees in a formal letter and documented in their employee file. This process is completed annually.”
