Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive director is a non-voting member of the board of directors, except that the executive director may vote to break a tie.

Form 990, Part VI, Section A, Line 3

Admin solutions group is the management company that performs administrative support and bookkeeping services for the organization. Kristin peterson is the owner of admin solutions group and was acting interim executive director for ippa from 3/1/24 through 12/31/24.

Form 990, Part VI, Section A, Line 6

Regular members shall be academics, scholars, researchers, scientists, practitioners, or other individuals dedicated to the scientific study and evidence-based, ethical application of positive psychology and related fields. Student members shall be students enrolled full-time and in good standing within an accredited, university-sponsored, degree-granting program. Students must provide verification of student status (e.g., a copy of a current student id card, transcript, and/or an official letter from the university registrar or other administrative office confirming full-time enrollment) to join or renew membership at this level. Fellow status may be granted by the board to those individuals who have made substantial contributions to the field of positive psychology. The board shall determine the rights and obligations of fellow status in the policies and procedures of the association. Organizational members shall be regional, national, or international organizations with values and purposes consistent with those of the association.

Form 990, Part VI, Section A, Line 7A

The council of advisors elects the voting members of the board of directors. The council of advisors shall include up to 50 members generally representing the association's international membership. Members of the council of advisors shall be elected by the current members of the council of advisors. The selection of the council of advisors shall prioritize participation by leading international scholars and also include respected positive psychology practitioners and dedicated students. Members of the council of advisors must be members in good standing of the association.

Form 990, Part VI, Section A, Line 8B

The board of directors determines association policies and has final authority over the affairs of the association. No other committee has authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm and then admin solutions, executive director and treasurer review the form 990 before finalization.

Form 990, Part VI, Section B, Line 12C

The disclosure process is performed annually, typically in mid year. Documents are reviewed at the time of receipt to assess any disclosed conflicts of interest and put forth to the ed for further consideration and evaluation as necessary. Admin solutions group is responsible for overseeing this process.

Form 990, Part VI, Section B, Line 15

An outside compensation comparison is studied for a given role by an appointee(s) selected by the bod. This is presented to the bod along with a proposed job description, tasks and expectations associated with the role. The bod reviews this documentation, ascertains any modifications or adjustments and final documentation is developed for a role; identification of appropriate candidates and subsequent hiring commencement then moves forward with written contracts in place which are first approved by the bod and governs the relationship between the organization and the selected hire (employee or contractor). The process described here was last completed in 2020.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy, and financial statements are available upon request.
