“There are three levels of review. First, executive staff will review the Form 990 as drafted by the organizations accountant. Then, the Form 990 will be given to the Executive Committee of the Board of Directors, who will review and make a recommendation to the Board for approval. Then, the Board will vote to approve.”
“All members of the Board of Directors re-read the policy annually and sign a statement saying they understand and agree to abide by the policy. The chair (President) then follows the guidelines laid out in the policy whenever a conflict of interest is raised.”
“The Producing Artistic Director is the only top management employee this applies to. The Executive Committee of the Board of Directors reviews his/her performance every other year and may make recommendations to the Board of Directors regarding his/her compensation. The Board also reviews his/her salary every year as part of the annual budgeting process. As a member of the Board, the Artistic Director is excused from these discussions in keeping with our Conflict of Interest Policy.”
