Governance Explanations

Form 990, Part VI, Section A, Line 6

Camps has four classes of members: manufacturing members, supply chain members, associate members and affiliate members.

Form 990, Part VI, Section A, Line 7B

The board of directors is the governing and policy-making body of camps subject only to the limitations and expectations provided for in articles of incorporation and bylaws. Members must be notified of proposed amendments to the bylaws and changes to the board of directors. They also have rights as provided by state law in the washington nonprofit corporation act.

Form 990, Part VI, Section B, Line 11B

The return is prepared by our independent accountants and is reviewed and approved by the signing trustee and finance committee. The full board receives a copy before filing.

Form 990, Part VI, Section B, Line 12C

Board members are asked to self-disclose any conflicts of interest. The disinterested board members determine if a conflict of interest exists. Board members with a conflict of interest are prohibited from participating or voting on the transaction.

Form 990, Part VI, Section B, Line 15A

The executive committee determines the pay, raises, and/or bonuses of the executive director. This process takes place each year in the first quarter.

Form 990, Part VI, Section C, Line 19

No requests were made for organizational documents in 2024; however, they are available upon request.
