The organization has members, a majority of who are exempt organizations. Many of the members of the Corporation each own and operate hospital systems located throughout the Dallas Fort Worth metroplex. The members recognized the need to collaborate in the support of their mutual interest in addressing indigent patient health care in Tarrant County, Texas and formed the Corporation to facilitate this effort.

Pursuant to the organizations by-laws, interested persons (including directors, officers and committee members of the Corporation and any other entity in the health care system of which the Corporation is a part) must disclose the material facts of a transaction or arrangement in which the interested person has a direct or indirect interest. The interested person, after disclosing all of the material facts, would be excused from the meeting of the Board of Directors and would abstain from all discussion and voting regarding the transaction or arrangement. The transaction or arrangement must then be approved by a majority of disinterested directors of the Corporation.

Certain TCICC officers participate in supplemental non-qualified retirement programs through the related member organizations by which they are employed. These plans are necessary to recruit and retain key employees. Where applicable, the plans provide an annual benefit to the employee that is paid to the employee on a future date consistent with the vesting schedule under the plan. Also, certain TCICC officers are eliglible to participate in long term incentive plans that are designed to align their compensation to the long term strategy of their respective organization. Performance targets are based upon a percentage of the participant's base salary and are developed by an independent third party expert using market competitive data. The plan is based on the organization's three year performance against its peers, determined based on peer rankings or percentile rankings in quality, patient satisfaction and financial performance. At the end of three years, awards are determined by the organization's governing body for participants. Payouts are partially made in cash and the remainder vests over an additional two year period. The amounts accrued and/or paid out are included in the "compensation from related organization" columns on the compensation tables in Form 990, Part VII and Schedule J, Part II.
