Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has a three step process for reviewing its 990. First, its business manager and president/ceo review the 990 for accuracy. Second, the 990 is presented to the treasurer and executive committees for examination and approval. The third and final step is to have the 990 presented to the full board for review, approval and acceptance.

Form 990, Part VI, Section B, Line 12C

The arts alliance's board adopted an updated conflict of interest policy in 2013. Annually, all board and staff members are required to sign a conflict of interest statement disclosing any associated or financial associations of conflicts. No board, committee member or staff shall use his or her position, or knowledge gained therein, in such a manner that a conflict between the interest of the organization or any of its affiliates and his or her personal interest arises.

Form 990, Part VI, Section B, Line 15A

The arts alliance contracts its professional management team from artrain, inc. As such it does not directly compensate the top official. Still, the board of directors is aware of the top official's compensation and takes it into consideration when reviewing its management agreement with artrain, inc.

Form 990, Part VI, Section C, Line 19

The arts alliance, as a proponent of best practices, readily makes available for public review upon request, its governing documents..

Financial Statement Notes

PART X, LINE 2:

Asc guidance regarding accounting for uncertainty in income taxes clarifies the accounting for income taxes by prescribing the minimum recognition threshold an income tax position is required to meet before being recognized in the financial statements and applies to all income tax positions. Each income tax position is assessed using a two-step process. A determination is first made as to whether it is more likely than not that the income tax position will be sustained, based upon technical merits, upon examination by the taxing authorities. If the income tax position is expected to meet the more likely than not criteria, the benefit recorded in the financial statements equals the largest amount that is greater than 50% likely to be realized upon its ultimate settlement. At december 31, 2017, there were no uncertain tax positions that require accrual.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0ASC GUIDANCE REGARDING ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES CLARIFIES THE ACCOUNTING FOR INCOME TAXES BY PRESCRIBING THE MINIMUM RECOGNITION THRESHOLD AN INCOME TAX POSITION IS REQUIRED TO MEET BEFORE BEING RECOGNIZED IN THE FINANCIAL STATEMENTS AND APPLIES TO ALL INCOME TAX POSITIONS.
