The Corporation has two classes of Members. The Members shall each have the same rights and responsibilities except that Baylor Heart and Vascular Center LLP shall not vote as a member and shall not appoint a director. Its interests will be represented by Baylor Health Care System, and by the director appointed by Baylor Health Care System.”

To aid in retaining key employees, Methodist Hospitals of Dallas maintains a 457(f) retirement allowance plan which is available to officers, senior vice presidents, executive vice presidents and division presidents. Each year the plan provides credits, expressed as dollar amounts, determined by a percentage of each participant's base salary. The percentage for each participant is defined in the plan. The deferred allowance is deposited in a mutual fund account for each participant and invested in funds selected by the participant from a menu of available options. Vested benefits, with investments gains or losses, are paid to participants as regular taxable income. The plan defines provisions for distribution of benefits in the event of the participant's death or separation of employment prior to the elected vesting date. Texas Health Resources maintains a nonqualified retirement plan. PARTICIPATION IN THE PLAN IS MADE AVAILABLE TO A SELECT GROUP OF MANAGEMENT AND HIGHLY COMPENSATED EMPLOYEES, AS DETERMINED BY THE BOARD OF TRUSTEES, WHO ARE PROVIDING SERVICES IN KEY POSITIONS OF MANAGEMENT AND RESPONSIBILITY. PARTICIPANTS MUST BE EMPLOYED ON DEC 1 TO QUALIFY FOR THE CURRENT YEAR'S SERP BENEFIT UNLESS SEPARATION IS DUE TO DEATH, DISABILITY, RETIREMENT (AGE 65) OR EARLY RETIREMENT (SEPARATION FROM SERVICE AT OR AFTER AGE 55 WITH 75 YEARS OF COMBINED AGE AND CONTINUOUS SERVICE WITH THE SYSTEM). SERP BENEFITS ARE CALCULATED EACH DEC 1. VESTED BALANCES ARE TAXED TO THE EMPLOYEE AND THE NET BALANCES BEGIN ACCRUING EARNINGS. VESTED BALANCES ARE PAID IN A CASH LUMP SUM WITHIN A 90 DAY PERIOD COMMENCING ON THE EARLIER OF DEATH, DISABILITY, OR SEPARATION FROM SERVICE. THE DEFERRED PORTION IS INCLUDED IN SCHEDULE J, PART II, COLUMN C. THE MEMBERS OF THE CORPORATION EACH OWN AND OPERATE HOSPITAL SYSTEMS LOCATED THROUGHOUT THE DALLAS FORT WORTH METROPLEX. THE MEMBERS RECOGNIZED THE NEED TO COLLABORATE IN SUPPORT OF THEIR MUTUAL INTEREST IN ADDRESSING INDIGENT PATIENT HEALTH CARE IN DALLAS COUNTY, TEXAS, AND FORMED THE CORPORATION TO FACILITATE THIS EFFORT. The Corporation has two classes of Members. The Members shall each have the same rights and responsibilities except that Baylor Heart and Vascular Center LLP shall not vote as a member and shall not appoint a director.
