Some of these individuals are compensated by Inspire Brands, Inc. for services rendered to the Foundation. Those services are measured at the cost recognized by Inspire Brands Group, Inc. for the personnel providing those services, which the Foundation then reimburses Inspire Brands Group for.”

“The Foundation's initial sole member has the power to remove one or more members of the Foundation's board. However, vacancies are not filled by the sole-member and the remaining board members must approve any potential nominations. Accordingly, per IRS instructions for Schedule R, the Foundation's sole member does not have a control relationship over the Foundation and is therefore an unrelated organization to the Foundation.”

“The Foundation receives in-kind services from volunteers, some of which are employees of an unrelated organization (per definition in the IRS instructions), Inspire Brands, Inc., including several individuals listed in Form 990, Part VII. Some of these individuals are compensated by Inspire Brands, Inc. for services rendered to the Foundation. Those services are measured at the cost recognized by Inspire Brands Group, Inc. for the personnel providing those services. Based on an analysis of the estimated percentage of time individuals who were identified as supporting the Foundation spend in a given year and the annual salary and benefits of each individual, the Foundation recognized $29,703 and $9,464 for the years ended December 31, 2024 and 2023, respectively, as revenue and expense (such items are also considered book-to-tax reconciliation adjustments and included in the amounts reported on this Form 990, Schedule D, Parts XI and XII). However, as Inspire Brands, Inc. is a taxable entity that is unrelated to the Foundation, the Foundation is not required to report an additional breakdown of these in-kind services in accordance with the taxable organization employee exception noted in IRS Instructions. Additionally, the Foundation also incurred other expenditures for labor costs and personnel resources in this tax period, though the Foundation does not retain any employees of its own. These expenditures are recognized within the Foundation's detail of expense accounts and included within total expenses reported on this Form 990, Part IX.”
