The mission of the wisconsin school counselor association, inc. Is to advance the profession of school counseling in preschool through post secondary in order to maximize the academic performance, career planning, and personal/social growth of every student.

The association has five types of membership: professional, affiliate, student, emeritus, and retired.

Form 990, Part VI, Section A, Line 7A

The association's membership has the right to elect the association's officers. A slate of officers is presented to the membership for approval by march each year.

Form 990, Part VI, Section B, Line 11B

The prepared form 990 is reviewed by the members of the governing body before the return is filed with the irs.

Form 990, Part VI, Section B, Line 12C

Members of the governing body must avoid conflict of interests with respect to their fiduciary responsibilities. A conflict of interest arises when a person in a position of authority over the association may benefit financially from a decision he or she could make in that capacity, including indirect benefits such as to family members or businesses with which the person is closely associated. A person has a financial interest if the person has, directly or indirectly, through business, investment, or family (a) an ownership or investment interest in any entity with which the association has a transaction or arrangement, (b) a compensation arrangement with the association or with any entity or individual with which the association has a transaction or arrangement, or (c) a potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the association is negotiating a transaction or arrangement. Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. A financial interest is not necessarily a conflict of interest. This policy is focused upon material financial interest of, or benefit to, such persons. There must be no self-dealing or any conduct of private business or personal services between any members of the governing body and the association, except as procedurally controlled, to ensure openness, competitive opportunity, and equal access to inside information. When the governing body is to decide upon an issue about which a member has an unavoidable conflict of interest, that member shall absent him or herself without comment from not only the vote, but also the deliberation. Members of the governing body must not use their positions to obtain employment for themselves, family members or close associates. Should a member desire employment, he or she must first resign. Members will disclose their involvement with other organizations, with vendors, or any other organizations that might produce a conflict.

Form 990, Part VI, Section B, Line 15A

The association's governing body determined the executive director's compensation using data from form 990 on compensation paid by other wisconsin nonprofit associations with similar budgets and 2020 guidestar nonprofit compensation report. This is updated every year and shared with the board at their january meeting. The board then reviews and votes on pay using the wsca compensation philosophy and the board source checklist for establishing a chief executive compensation plan.
