LiquidationExplanationStmt/ExplanationTxt	0	On December 19, 2017, the Foundation terminated its private foundation status pursuant to Section 507(b)(1)(A) of the Internal Revenue Code by distributing all the Foundations right, title, and interest in and to all of its net assets to an organization described in section 170(b)(1)(A)(vi). The recipient organization has been continuously described in Section 170(b)(1)(A)(vi) of the Code since more than 60 months before such distribution and is managed by a governing body that is independent of the Foundations board of directors. The Foundation imposed no material restriction or condition that prevents the recipient organization from freely and effectively employing the distributed assets, or the income derived there from, in furtherance of its exempt purposes. A certified copy of the resolution of the Foundations board of directors authorizing these distributions is attached. The Foundation has since taken steps to dissolve as a nonprofit corporation.Such transfers were as follows:
