Governance Explanations

Form 990, Part VI, Section A, Line 3

Stc is managed by the association management company of stringfellow management group, inc. Stc maintains its offices at smg's headquarters at 2331 rock spring road, forest hill, md 21050. All regular stc staff members are employees of smg and are provided to stc on an as-needed basis. Smg and stc have a letter of agreement that defines the responsibilities of the management firm. A management fee is negotiated that covers the cost of the stc president/ceo, support staff, office equipment and office space.

Stc's bylaws provide for six classes of membership: (1) independent professional & consultant; (2) builder & installer, including regional and sub-base contractor; (3) synthetic turf manufacturer; (4) component manufacturer or supplier; (5) specialty manufacturer or service company; and (6) honorary membership.

Members of the board of directors are elected at the annual membership meeting of the association, by a majority vote of completed ballots (which were received not less than 11 days out), subject to bylaw requirements that each member category has from 1 to 4 representatives, and the limitation that only one representative of a member company, or related member companies may serve as a director at one time.
