The association has seven classes of members including realtor, institute affiliate, affiliate, public service, honorary, student and life members.

Only realtor and life members can vote on electing members of the governing body.

Form 990, Part VI, Section A, Line 7B

Decisions of the governing body are subject to approval by the realtor and life members, as well as amendments to the bylaws.

A completed copy of the form 990 will be reviewed by staff, and then submitted to the budget and finance committee for review. The form will then be submitted to the board of directors for final approval.

Form 990, Part VI, Section B, Line 12C

All board of director members (including officers) and the chief executive officer are required to sign the conflict of interest policy in january of each year (the beginning of a new term for the board of directors) or at their first board of directors meeting in the case of an appointed director (should a vacancy need to be filled). The policy outlines what constitutes a conflict. The association has not had a declared conflict under this policy so to date, potential conflicts of interest have not been reviewed. Should a director/chief executive officer declare a conflict, they would be excused from the deliberations/vote of that particular decision with the remaining directors determining if a conflict exists. All proceedings related to any potential or actual conflicts of interest will be documented in the meeting minutes or as otherwise appropriate.

Each year salaries are reviewed by the executive committee. For officers, the association utilizes an annual performance review and comparable salary study reviews. Each year, statistics are collected for comparable studies. This process was most recently undertaken for the chief executive officer in 2013.

Financial Statement Notes

PART X, LINE 2:

Realtor association of prince william, inc. Is exempt from federal income taxes on its exempt activities under section 501(c)(6) of the internal revenue code and is also exempt from virginia income taxes. However, the association is subject to taxes on its unrelated business activities. The association evaluated its tax positions and determined that its positions are more-likely-than-not to be sustained on examination. No provision for income tax is required for 2013 or 2012. The association's 2010, 2011 and 2012 tax years are open for examination by the irs. The association files as a tax exempt organization; should that status be challenged in the future, all years since inception would be subject to review by the irs.
