Governance Explanations

Fay Boland - Fay is the sole owner of THE ALLIANCE, DBA and HSAO and a majority owner of Donnelly-Boland Tax Services. She and her husband are Trustees for the Health and Welfare Plan and 401K plans in which THE ALLIANCE, DBA, HSAO and CFA are participating employers. As described in Schedule L CFA leases space from a real estate partnership owned by Fay Boland, her husband, their real estate management company and a trust for their children. That space is shared with DBA and the furniture and equipment in that space belong to DBA but are available for use by CFA. Susan Levi - Susan is the Executive Director of THE ALLIANCE under a management agreement with Donnelly-Boland and Associates where she is employed as an Executive Vice President. The Board of Directors of THE ALLIANCE is comprised of employees of Donnelly-Boland and Associates. Susan is also a member of the Boards of Directors of Donnelly-Boland and Associates and Human Services Administration Organization. All of these companies are wholly-owned by Fay Boland. She is also the Plan Administrator for the Health and Welfare Plan and 401K plans in which THE ALLIANCE, DBA, HSAO and CFA are participating employers. Susan is also a partner in Donnelly-Boland Tax Services, LLC with Fay and Kevin Boland and their nephew Eric Donnelly. Lisa Ashbaugh - Lisa is the Executive Director of HSAO, a company wholly-owned by Fay Boland, and HSAOs Board of Directors is comprised of employees of Donnelly-Boland and Associates. Marianne Kearneys husband Rick is a contractor in the building trades. He has performed repairs and maintenance and renovation projects for DBA, THE ALLIANCE, HSAO and property companies in which Fay and Kevin Boland and their family have an interest.

The Board of Directors passed a resolution concurrent with its 2023 amendment of the by-laws designating Fay Boland as the sole member of the Corporation.

Member election for additional members Part VI line 7A

The Board of Directors in its resolution designating Fay Boland as the sole member of the Corporation also provided for her successor members as follows - in the event Ms. Boland is unable to serve in this role, she hereby appoints the successor to her interest of stock of Donnelly-Boland and Associates pursuant to her then-current estate planning documents to be the successor member and to serve in accordance with the Corporations then-current Bylaws. In the event this person is unable or unwilling to accept such appointment, the Managing Partner of Donnelly-Boland and Associates shall have the right to appoint a member to serve.

In addition to those rights and privileges accorded to members under the Pennsylvania Nonprofit Corporation Law of 1988, the Member shall have the following reserved powers: (a) The authority to appoint and remove all the Directors and Officers of the Corporation and the power and duties consistent with law, the Articles of Incorporation of the Corporation and these Bylaws; (b) The authority to coordinate policy and long-range strategic and financial planning of the Corporation; (c) The authority to amend the Articles of Incorporation and Bylaws of the Corporation; (d) The authority to approve asset transfers by the Corporation; and (e) Any other rights permitted by law

Significant program services not listed on prior year return Part III line 2

Winter Shelter Program - In November 2024, CFA expanded its role in providing services to Allegheny Countys winter shelter program from crisis staffing to include regular seasonal operation of an overflow shelter for homeless individuals during the winter months. This expanded role reflects CFAs ongoing efforts to address community needs proactively and efficiently. Early Learning Resource Center - The contracts for the Early Learning Resource Center in each county were subject to recompete state-wide during the current year. As a result of changes in the contract requirements for the prime contractor, Community Family Advocates took on certain responsibilities previously handled by The Alliance for Infants and Toddlers. The Early Learning Resource Center initiative consolidated the work of Child Care Works Agencies and Regional Keys to create an enhanced resource and referral system for communities seeking early learning services and supports. Community Family Advocates contracts with The Allegheny County Department of Human Services to support this initiative in Allegheny County (Region 5).

Financial Statement Notes

Part X, Line 2-Text in footnote regarding FIN 48 (ASC 740)

CFA has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code (IRC). Accordingly, no provision for income taxes is recorded in the financial statements. In addition, CFA qualifies for the charitable contribution deduction under IRC Section 170(b)(1)(A) and has been classified as an organization that is not a private foundation under Section 509(a)(2). CFA is duly registered as a Charitable Organization with the Department of State, Commonwealth of Pennsylvania. Further, CFA annually files a Form 990 with the IRS. As of December 31,2024, CFA is unaware of any unrecognized tax benefits or uncertain tax positions. CFAs tax returns for tax years 2021 and beyond remain subject to examination by the Internal Revenue Service.

Working in collaboration with the Jewish Healthcare Foundation and Allegheny County, CFA plays a pivotal role in the loan review process and ensures the programs standards align with reinvestment requirements. The organization handles transcript verification, reviews loan documentation, tracks employment and training participation, and manages the disbursement of loan repayments. Originally conceived to deliver services to 5 cohorts through 2026 the program has been approved for 10 cohorts through 2028, 8 of which have been enrolled (156 participants). The first cohort (23 professionals) has completed the program achieving repayment of nearly $925,000 in student loan debt.

CFA served an average of over 100 homeless clients/night for the duration of the Winter Shelters operation, providing in addition to shelter, both dinner and a take away breakfast as well as transportation to and from the facility.

CFA is duly registered as a Charitable Organization with the Department of State, Commonwealth of Pennsylvania. Further, CFA annually files a Form 990 with the IRS. As of December 31,2024, CFA is unaware of any unrecognized tax benefits or uncertain tax positions. CFAs tax returns for tax years 2021 and beyond remain subject to examination by the Internal Revenue Service.

She is also the sole owner and President of The Alliance for Infants and Toddlers (THE ALLIANCE) and Human Services Administration Organization (HSAO) which are other employers that are part of the controlled group. She and her husband are Trustees for the Health and Welfare Plan and 401K plans in which THE ALLIANCE, DBA, HSAO and CFA are participating employers. As described in Schedule L CFA leases space from a real estate partnership owned by Fay Boland, her husband, their real estate management company and a trust for their children. That space is shared with DBA and the furniture and equipment in that space belong to DBA but are available for use by CFA. Susan Levi - Susan is the Executive Director of THE ALLIANCE under a management agreement with Donnelly-Boland and Associates where she is employed as an Executive Vice President. The Board of Directors of THE ALLIANCE is comprised of employees of Donnelly-Boland and Associates. Susan is also a member of the Boards of Directors of Donnelly-Boland and Associates and Human Services Administration Organization. All of these companies are wholly-owned by Fay Boland. She is also the Plan Administrator for the Health and Welfare Plan and 401K plans in which THE ALLIANCE, DBA, HSAO and CFA are participating employers. Susan is also a partner in Donnelly-Boland Tax Services, LLC with Fay and Kevin Boland and their nephew Eric Donnelly. Lisa Ashbaugh - Lisa is the Executive Director of HSAO, a company wholly-owned by Fay Boland, and HSAOs Board of Directors is comprised of employees of Donnelly-Boland and Associates. Marianne Kearneys husband Rick is a contractor in the building trades. He has performed repairs and maintenance and renovation projects for DBA, THE ALLIANCE, HSAO and property companies in which Fay and Kevin Boland and their family have an interest.

This expanded role reflects CFAs ongoing efforts to address community needs proactively and efficiently. Early Learning Resource Center - The contracts for the Early Learning Resource Center in each county were subject to recompete state-wide during the current year. As a result of changes in the contract requirements for the prime contractor, Community Family Advocates took on certain responsibilities previously handled by The Alliance for Infants and Toddlers. The Early Learning Resource Center initiative consolidated the work of Child Care Works Agencies and Regional Keys to create an enhanced resource and referral system for communities seeking early learning services and supports. Community Family Advocates contracts with The Allegheny County Department of Human Services to support this initiative in Allegheny County (Region 5).
