“Trpil delegated accounting and managerial services to transitional paths to independent living, an affiliated organization.”
“Trpil and voices for independence (vfi), a nonprofit organization located in erie, pa entered into an affiliation agreement effective october 1, 2019. The affiliation is a parent/subsidiary relationship pursuant to which vfi is the parent corporation and trpil and its affiliates (transitional paths to independent living, trpil community services, and accessible dreams) are each independent subsidiary corporation of vfi. Private care resources, inc. D/b/a trpil home health remained an affiliate of trpil. The chief executive officer (cfo) of vfi was appointed ceo of each of the trpil entities. The new vfi board was initially comprised of an equal number of board members from both vfi and trpil, plus the ceo of vfi.”

“Trpil acquired goodwill in the august 31, 2017 purchase of 100% of the common stock of private care resources, inc., d/b/a vfi home health. Generally accepted accounting principles require goodwill to be subject to an assessment for impairment on at least an annual basis. If the fair value of the reporting unit is less than its carrying value at the valuation date, an impairment loss should be recorded to the extent that the fair value of the goodwill within the reporting unit is less than its carrying value. An assessment of impairment was made based on the financial results of trpil home health through june 30, 2019. A (674,084) loss on impairment of goodwill was recognized to write the goodwill down to -0-. This amount is reported on form 990 - part ix - line 24a.”
