The Form 990 is prepared and reviewed by the CFO for Concordia Visiting Nurses, a 20% member/shareholder of Alliance Visiting Nurses. The document is then reviewed by others on the accounting management team. The board is sent draft copies of the 990 prior to filing, in order to assess questions, comments, and feedback. Questions and comments are addressed accordingly. Upon board approval the final 990 is submitted to the taxing authorities. A copy of the final 990 is made available to all board members.

Form 990, Part VI, Section B, Line 12C

The corporate compliance officer attends at least 1 (one) board meeting a year. All officers, directors or trustees, and key employees are educated on compliance policies and procedures with the corporate compliance officer. Updates on corporate compliance are addressed in scheduled meetings during the year with all staff (including management). Specific corporate compliance goals and objectives are reviewed and evaluated on an ongoing basis during the year with the corporate compliance officer. Additionally, board members are required to disclose any potential conflict of interest prior to discussion on a topic where a conflict may exist. The Board will determine if a conflict exists and act accordingly, which may include the conflicted board member recusing himself/herself from discussion and any votes related to the matter.

The organization reviews national and state salary surveys for various non-profit organizations. Compensation is then appropriately determined based upon experience and comparison to the benchmarks. The personnel committee reviews the efforts and accomplishments of the CEO and recommends any adjustment to the board for approval. The Alliance Visiting Nurses board of directors has final authority/responsibility for approving any salary adjustment for the CEO. The CEO was reviewed during the fiscal year associated with this return.

The cost basis of equipment has been reported in column (b). In prior years 990 filings, it was reported in column (a). Due to a change in leadership and their interpretation of the instructions for Schedule D, it was determined that the equipment held by Alliance Visiting Nurses belongs in column (b) as it is used by the organization in conducting its exempt activities and is not held for investment purposes.

Schedule D, Part X, Line 2

The Organization is a not-for-profit corporation and is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes has been provided. The Organization follows the guidance for accounting for uncertainty in income taxes recognized in an organization's financial statements that prescribes a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. The guidance also addresses derecognition, classification, interest and penalties, accounting in interim periods, and disclosures. Management has determined that this guidance had no material effect on the financial statements. The Organization's policy is to recognize interest related to unrecognized tax benefits in interest expense and penalties in operating expenses. There were no interest or penalties recognized on the statements of operations and changes in net assets as a result of this guidance. Generally, tax returns for years ended June 30, 2011, and thereafter remain subject to examination by federal and state authorities.

All services are available without regard to race, religion, creed, color, age, ancestry, national origin, sex, sexual preference, lifestyle, socioeconomic status, veteran's status or handicap. The agency strives to operate in a Christian manner in all interactions with consumers, staff, and the community. The provision of care to consumers recognizes and supports consumers' rights and the inherent worth and dignity of each individual. Care is provided in a holistic, comprehensive manner that helps consumers achieve their desired quality of life and functional outcomes. Service to the community is achieved through responsive consumer care, caregiver support and education. Working as an interdisciplinary team, staff respect and support each other. Continuous quality improvement is integral to all agency functions with emphasis on employee development, risk management, strategic planning and organizational performance. The agency seeks to provide care to all consumers in need of its services while recognizing its goal to maintain financial viability. Service delivery is based on the belief that quality health care can be delivered using efficient, effective and ethical business practices. Approximately 2,878 persons were served with an average daily census of 278 patients. A total of approximately 37,225 (including 153 non-billable) visits were completed by various disciplines. Caregiver assistance and support is another identified need VNA Alliance addresses by providing training and information regarding health care concerns for the geriatric and difficult-to-deal with individuals, such as those with dementia or Alzheimer's disease. We also service the corporate community through health and wellness initiatives including speaking engagements and flu clinics for agency residents and employees. VNA Alliance continues to provide a wealth of community services to the residents, organizations and various groups in Mercer, Crawford, and Venango Counties and additionally reach communities stretching into Erie, Armstrong, Lawrence and Butler Counties. We have gained recognition as an agency that is respected as a contributing member of the community, truly making a difference in the lives of those residing in our geographical boundaries. The focus of our community engagement is geared primarily towards educating and screening the retirement and low-income populations, as these groups seem to have the greatest need regarding health screening and health education. We work closely with individuals who provide direct hands-on care or oversee the health care of these populations as well as general potential consumers of health care services in our communities. Caregiver assistance and support is another identified need VNA Alliance addresses by providing training and information regarding health care concerns for the geriatric and difficult-to-deal with individuals, such as those with dementia or Alzheimer's disease. We also service the corporate community through health and wellness initiatives including speaking engagements and flu clinics for agency residents and employees. Additionally, as part of the prevention efforts for the deterioration of existing health conditions, VNA Alliance provides telehealth monitoring free of charge to patients with chronic diseases like congestive heart failure. Telehealth monitoring is a free service to the community. VNAA utilizes approximately 55 telehealth units a month with patients. VNA Alliance Community Nurse Liaisons have provided the following services: Flu clinics: Provision of nearly 315 flu vaccines to St. Paul's Homes Heritage Assisted Living residents, St. Paul's Homes Greenville Ridgewood residents, St. Paul's Homes Shenango Valley Ridgewood residents, St. Paul's Homes Cottage Colony residents, Wesbury Retirement Community Assisted Living and Independent Living residents, and staff.
