Glade Run

“The board of directors shall consist of nine voting directors elected by the board of directors. At least 50% of the directors entitled to vote shall be voting members of a congregation of the evangelical lutheran church of america ("elca") and any modification to this 50% requirement shall require the approval of two-thirds of the directors. There shall also be such ex-officio, non-voting directors as may be designated from time to time by the board of directors. With the exception of the ex-officio, non-voting directors each of whose terms shall be (i) co-terminous with the office pursuant to which the director serves as a director or (ii) specified in the resolution appointing the director, each director shall serve for a term of three years or until such director's successor is duly elected and takes office. Directors elected by the board of directors shall be (i) nominated by the board development committee or board of directors, (ii) elected by the board of directors as its annual meeting or any special meeting called for such purpose and (iii) unless otherwise specified at the time of election, take office in september. The terms of the directors shall be structured such that appoximately one-third of the directors shall be selected each year. No voting director who has served two full terms of three years each may be nominated for or appointed to a directorship until the director has not served as a voting director for one year. In calculating such limit, all terms of service beginning prior to june 1, 1994 shall be disregarded. At all times, at least 20% of the voting directors shall also be directors of glade run lutheran services.”
