Founded in 1992 on the principle that a healthy community is one that is rich in the arts, carlisle arts learning center (calc) is committed to serving and enriching the community by encourgaging creativity and self-esteem through the exploration and appreciation of the visual arts.

The organization has memberships; however, members do not have the ability to vote on organizational initiatives or actions. Members are not permitted to elect individuals serving in the governing body. Board members serving on the nominating committee seek out new board members and make recommendations to the full board. A quorum of the entire board votes to admit or dismiss board members.

The treasurer reviews the form 990 with the executive director and board of directors. The board scrutinizes the adequacy of disclosures and indicates any changes as it deems necessary. Once the board is satisfied that the return is as complete and accurate, it is filed.

Annually each board member is required to sign the conflict of interest statements and conflicts are discussed annually.

The board of directors reviews the compensation of other executive directors in the area by looking at executive compensation reported on their respective form 990. Other compensated employees perform primarily clerical positions within the organization, and the board looks at rates of pay for equivalent organizations that have clerical staff. This information is often obtained indirectly through the executive director's conversations with other non-profit organization representatives in the area. Because of the size of the organization and fiscal constraints, the center is unable to pay its executive director and other employees amounts that are comparable to other non-profit organizations in the immediate area.

Financial Statement Notes

Schedule D, Page 3, Part X

The center is a non-profit organization which is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. The standards require an assessment of the center's exposure to income taxes at the entity level as a result of uncertain tax positions taken in current and previously filed tax returns. Examples of tax positions taken at the entity level include the continuing validity of its 501(c)(3) status, potential unrelated business activities and other tax positions that could result in income taxes to the center upon examinations by taxing authorities. Any tax benefits associated with uncertain tax positions that are in excess of a realization threshold would be recorded as a liability for unrecognized tax benefits in the financial statements, along with any associated interest and penalties. Presently, management believes that it is more likely than not that its tax positions will be sustained upon examination, including any appeals and litigation, and therefore believes that the center has no exposure to income taxes from uncertain tax positions.

THE STANDARDS REQUIRE AN ASSESSMENT OF THE CENTER'S EXPOSURE TO INCOME TAXES AT THE ENTITY LEVEL AS A RESULT OF UNCERTAIN TAX POSITIONS TAKEN IN CURRENT AND PREVIOUSLY FILED TAX RETURNS. EXAMPLES OF TAX POSITIONS TAKEN AT THE ENTITY LEVEL INCLUDE THE CONTINUING VALIDITY OF ITS 501(C)(3) STATUS, POTENTIAL UNRELATED BUSINESS ACTIVITIES AND OTHER TAX POSITIONS THAT COULD RESULT IN INCOME TAXES TO THE CENTER UPON EXAMINATIONS BY TAXING AUTHORITIES. ANY TAX BENEFITS ASSOCIATED WITH UNCERTAIN TAX POSITIONS THAT ARE IN EXCESS OF A REALIZATION THRESHOLD WOULD BE RECORDED AS A LIABILITY FOR UNRECOGNIZED TAX BENEFITS IN THE FINANCIAL STATEMENTS, ALONG WITH ANY ASSOCIATED INTEREST AND PENALTIES. PRESENTLY, MANAGEMENT BELIEVES THAT IT IS MORE LIKELY THAN NOT THAT ITS TAX POSITIONS WILL BE SUSTAINED UPON EXAMINATION, INCLUDING ANY APPEALS AND LITIGATION, AND THEREFORE BELIEVES THAT THE CENTER HAS NO EXPOSURE TO INCOME TAXES FROM UNCERTAIN TAX POSITIONS.
