The organizations member, the sisters of the humility of mary, will appoint one member from their board to the organization's board. The organization nominates all board members but the member must approve the appointment.

The following powers are reserved to the member, and shall be exercised by the member. A. To approve the philosophy and mission of the corporation. B. To amend the articles of incorporation and the bylaws of the corporation. C. To approve or disapprove the sale, long-term lease, disposition, or encumbrance of any real property by the corporation. E. To approve or disapprove any new indebtedness in excess of $100,000.00. F. To approve or disapprove the dissolution of the corporation and the distribution of assets upon dissolution, provided the assets are used for purposes consistent with the purposes of the corporation. To review and evaluate the annual report of the corporation in light of the philosophy and mission of the sisters of the humility of mary and the corporation. J. Financial Statement Notes

PART X, LINE 2:

The organization is a not-for-profit corporation as described in section 501(c)(3) of the internal revenue code (code) and is recognized as tax exempt under 501(a) of the code. Accordingly, no provision for income taxes has been provided. Accounting principles generally accepted in the united states of america require the organization to evaluate tax positions taken by the organization and recognize a tax liability or asset if the organization has taken an uncertain position that more likely than not would be sustained upon examination by the internal revenue services (irs). The organization has concluded that as of june 30, 2024 and 2023, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or asset or disclosure in the financial statements. Generally, tax returns for years ended june 30, 2021, and thereafter remain subject to examination by federal and state tax authorities.
