Contracts or transactions between the organization and an entity of which a director is an officer, director, or financially interested, shall not be void but shall be voidable unless the contract or transaction is fair to the organization as of the time it is authorized, approved or ratified by the board of directors and then material facts as to the relationship of interest and as to the contract or transaction are disclosed to the board of directors and the board of directors, in good faith, authorizes the contract by the affirmative vote of a majority of the disinterested members. The board members sign a conflict of interest statement on an annual basis which is returned to and reviewed by the executive director. In addition, as a routine part of all board meetings, the board is asked to acknowledge any conflicts of interest and to recuse themselves in the discussion of voting on any business that might be a conflict of interest.

The corporation is a not-for-profit entity described in section 501(c)(2) of the internal revenue code and is exempt from income taxes on related activities pursuant to section 509(a) of the internal revenue code. The corporation conducted no activities which were subject to income taxes. Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the commission, including whether the entity is exempt from income taxes. Management evaluated the tax positions taken and concludes that the commission had taken no uncertain tax positions that require recognition or disclosure in the consolidated financial statements. Therefore, no provision or liability for income taxes has been included in the consolidated financial statements. Tax returns are generally subject to examination for a period of three years after they are filed.
