“Form 990 is prepared by an independent certified public accountant and reviewed by the executive director prior to submission to the Internal Revenue Service.”
“To prevent any actual or possible conflict-of-interest, an Interested Person must disclose the conflict-of-interest and be given the opportunity to disclose all facts to the Trustees considering the proposed transaction or arrangement. In an effort to help with such disclosure, eash Trustee, committee member, or Library staff shall complete a conflict-of-interest questionnaire annually or as circumstances warrant. The board shall review each questionnaire and any other disclosures regarding the conflict-of-interest. After exercising due diligence, the board shall determine whether the organization can obtain, with reasonable effort, a more advantageous transaction or arrangement from a person or entity that would not produce a conflict-of-interest. The Interested Person shall not be present in the room during the determination. If an alternative transaction or arrangement is not possible, the board shall determine by a majority vote of the disinterested Trustees whether the transaction or arrangement is in the best interest of the Library, for its own benefit, and fair and reasonable. Based on these determinations, the board shall make its decision on where to enter into the transaction or arrangement and if a leave of absence is merited. All proceedings, disclosures, discussions, and decisions thereof, shall be documented in meeting minutes. If the board has reason to believe an individual has failed to disclose actual or potential conflicts-of-interest, it will inform the member and allow him or her to explain the alleged failure to disclose. If the board still has reason to believe a conflict-of-interest exists after all alleged conflict is explained, it will take corrective action consistent with the By-Laws.”

| IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 1 | To prevent any actual or possible conflict-of-interest, an Interested Person must disclose the conflict-of-interest and be given the opportunity to disclose all facts to the Trustees considering the proposed transaction or arrangement. In an effort to help with such disclosure, eash Trustee, committee member, or Library staff shall complete a conflict-of-interest questionnaire annually or as circumstances warrant. The board shall review each questionnaire and any other disclosures regarding the conflict-of-interest. After exercising due diligence, the board shall determine whether the organization can obtain, with reasonable effort, a more advantageous transaction or arrangement from a person or entity that would not produce a conflict-of-interest. The Interested Person shall not be present in the room during the determination. If an alternative transaction or arrangement is not possible, the board shall determine by a majority vote of the disinterested Trustees whether the transaction or arrangement is in the best interest of the Library, for its own benefit, and fair and reasonable. Based on these determinations, the board shall make its decision on where to enter into the transaction or arrangement and if a leave of absence is merited. All proceedings, disclosures, discussions, and decisions thereof, shall be documented in meeting minutes. If the board has reason to believe an individual has failed to disclose actual or potential conflicts-of-interest, it will inform the member and allow him or her to explain the alleged failure to disclose. If the board still has reason to believe a conflict-of-interest exists after all alleged conflict is explained, it will take corrective action consistent with the By-Laws. |
