“On may 6, 2020, the board of directors adopted amended and restated articles of incorporation and amended and restated bylaws in order to convert from an entity exempt under section 501(c)(7), which focused on competition and conformation, to an entity exempt under section 501(c)(3), which focuses on education and appreciation of the breed. Significant provisions of the amended and restated articles of incorporation include: * the corporation is organized and shall be operated exclusively for charitable, educational and scientific purposes, including fostering and promoting the public's knowledge and appreciation of dogs in general, and the german shepherd dog breed in particular. * upon dissolution, all assets shall be transferred to one or more organizations recognized as an organization described in section 501(c)(3) of the code. * the corporation has no members. * management of the corporation is vested in a board of directors. * articles may be amended by a majority vote of directors. Significant provisions of the amended and restated bylaws include: * the number of directors shall be not less than 3 or more than 9. * directors are appointed by a vote of the majority of the board of directors. * directors shall be elected for terms of four years. * one third of the directors shall constitute a quorum for the transaction of business at any meeting of the board of directors, and the vote of a majority of the directors present at a meeting at which quorum is present shall be the act of the board of directors. * directors shall not be compensated but may receive reasonable compensation for services rendered in any other capacity. * elected officers of the corporation shall be a president, who shall also be chair of the board, a secretary and a treasurer. The board may also appoint other officers as it deems necessary, including one or more vice-chairs. * elected officers shall be elected by the board of directors at each regular annual meeting of the board. * officers may receive reasonable compensation for services rendered to the corporation. * the purposes of the corporation are to: encourage and promote training of the highest quality purebred german shepherd dogs and to do all possible to bring the natural qualities of the german shepherd dog breed to perfection; to aid with every possible means in demonstrating the conspicuous ability of the german shepherd dog breed in its role with: the military, police enforcement, drug and explosive detection work, security work, herding, search and rescue work; red cross, guide dogs for the blind and deaf and as a companion; therapy and help, and other service activities; including without limitation to other organizations as determined by the board; to publish literature, periodicals and other educational materials in the interest of the german shepherd dog breed; and to work with other organizations regarding health and genetic research, and treatment to preserve the health of the german shepherd dog breed. * officers and directors must disclose any potential conflicts of interest with respect to a grant or other transaction, must disclose material facts, and shall not be entitled to vote on the decision to enter into such transaction. * bylaws may be amended by the board of directors.”
